The foundation seeks to serve the public, facial plastic surgeons, other physicians, and medical institutions by fostering the highest standards of excellence in facial plastic and reconstructive surgery through public education, educational programs, and support for research.

The foundation's bylaws provide that all members of the academy are technically members of the foundation.

Form 990, Part VI, Section A, Line 7A

Those by-laws also provide that certain officers elected by that membership as academy officers also serve ex officio as the board of directors of the foundation. The foundation's bylaws do not, however, provide for separate elections from the academy's elections, and there are no meetings of foundation "members" or elections of foundation officers separate from those of the academy.

Conflict of interest policy is distributed to all potential board members prior to the election. It is required that all candidates for the board of directors read the conflict of interest policy and acknowledge that they have no potential conflicts except those listed. The members are asked to sign this document. If there was thought to be a conflict that was not reported by the member the issue could be brought before the ethics committee to review.

The compensation shown in these sections is paid by the american academy of facial plastic & reconstructive surgery, the foundation's related organization. The foundation relies on the compensation determination methodology of the american academy of facial plastic & reconstructive surgery. The following is the compensation methodology used by the american academy of facial plastic & reconstructive surgery: the evp has an employment contract. Prior to the expiration of this contract the executive committee will complete an evaluation of the evp. The president brings a summary of the individual ratings to the next executive committee meeting. The president's composite report is used as the basis for discussion between the executive committee and the evp. The compensation is part of the contract negotiations. The evp is responsible for hiring, reviewing and setting the compensation for the other employees. Annually, the evp presents a compensation report to the board of directors.

Financial Statement Notes

PART V, LINE 4:

The foundation has adopted investment and spending policies for endowment assets that attempt to provide a predictable stream of funding to programs supported by its endowment, while seeking to maintain purchasing power of the endowment assets. All earnings of the endowment are reflected as temporarily restricted net assets, until appropriated for expenditure by the various committees of the foundation. The board of directors has assigned a committee to each program for the purposes of selecting and recommending individuals for awards or grants.

PART X, LINE 2:

The foundation complies with the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the foundation may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities based on the technical merits of the position. The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50 percent likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes, and accounting in interim periods. The foundation is not aware of any uncertain tax positions and therefore, no tax liabilities have been recorded as of december 31, 2014, or any related interest and penalties included in the balance sheet or statement of activities. Generally, the foundation is no longer subject to income tax examinations by the u.s. Federal, state or local tax authorities for years before 2011.
