There are no committees with authority to act on behalf of the governing body.

A draft form 990 is sent to the board members and they have two weeks to complete their review. A meeting is then scheduled with the preparer to discuss any questions, comments, and suggested revisions, which are documented with any responses from the preparer. After the form 990 is filed a presentation is made at the next board meeting.

Form 990, Part VI, Section B, Line 12C

Each director, principal officer, and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person: a. Has received a copy of the conflict of interest policy, b. Has read and understands the policy, c. Has agreed to comply with the policy, and d. Understands the organization is charitable and in order to maintain its federal tax-exempt status it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. If any individual were to have a conflict, it would be disclosed and dealt with accordingly by the board.

Due to its small size, the full board conducted research regarding the comparability data for the compensation of the executive director position and determined the executive director's compensation based on those findings. The decision and approval for compensation were documented in the board minutes. There are no other officers or key employees who receive compensation.

Due to the small size of the board of directors, each member reviewed the financial statement audit and was responsible for the selection and oversight of the independent auditors.

Financial Statement Notes

PART X, LINE 2:

The center adopted the guidance in the fasb codification topic related to uncertainty in income taxes which prescribes a comprehensive model for recognizing, measuring, presenting and disclosing in the financial statements uncertain tax positions that the center has taken or expects to take in its tax returns, including positions that the center is exempt from income taxes or not subject to income taxes on unrelated business income. Under the guidance, the center may recognize the tax benefit from an uncertain tax position only if it is "more likely than not" that it is sustainable, based on its technical merits. The tax benefits recognized in the financial statements from such a position should be measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement with the taxing authority having full knowledge of all relevant information. The center believes that it has appropriate support for the positions taken on its returns.
