“The organization has members. Until amended by action of the board of directors, the board of directors shall consist of 10 directors elected from throughout the city, who live and work in the metropolitan area and have connection via program referral, interest and commitment to the bobby e. Wright comprehensive communiity mental health center, inc. This will constitute a broad based membership.”

“The officers of the corporation shall be elected annually by the board of directors at the regular annual meeting of the board of directors. If the election of officers will not be held at such a meeting, such election shall be held soon thereafter as convenient. Vacancies may be filled or new offices may be created and filled at any meeting of the board of directors. Each officer shall hold office until his/her successor has been duly elected and qualified to take office.”

“The affairs of the organization are managed by its board of directors. Only members of the board of directors shall have voting rights.”

“Upon receipt of the final 990 tax return, the return is reviewed by the president/ceo and the director of fiscal operations. This review is conducted before the form 990 is filed with the internal revenue service (irs). If there are no discrepancies, the form 990 is then signed by the president/ceo and filed with the irs. The form 990 is available for the board of directors to review and a copy is also available upon request from the board of directors.”

“The administrative progam manager shall maintain records of outside employment in the personnel file of each employee. This will be filed and maintained in an administrative office. An update in information is performed via a second job memo that must be completed by staff to ascertain if there have been any changes to the original approved request that was approved by the president/ceo. Under no circumstances should a board memeber, business associate or family memeber receive compensation for any service rendered to the center unless, and/or until the matter has been fully disclosed to and approved by the full board in a legally convened meeting with the required quorum present.”

“The board of directors conducts the review and approval for the compensation for the president/ceo. Performance evaluations for the president/ceo with a minimum of 10 years of exemplary service will be held every three years by the board of dirctors.”

“The organization makes its governing documents, conflict of interest policy and financial statements available to the public upon request, the books and records of the corporation shall not be duplicated and/or copied for distribution to any entity without the knowledge and written consent of the board of directors via the signature of the board chairman, or in his/her absence the signature of the next officer who has the authority of the chairman.”
