Governance Explanations

Form 990, Part VI, Section A, Line 1

The board of directors shall elect an executive committee which shall consist of the president serving as the chairperson of the committee, vice-president, secretary, treasurer, and one additional director who must be a consumer member. The executive committee shall have the power and authority to take actions on behalf of the board of directors for emergencies which occur between meetings of the board, although it shall act consistently with established policies and direction articulated by the board of directors and is not intended to be utilized on a routine basis. The executive commitee must report to the board of directors at the next meeting all actions taken independently and on behalf of the board of directors, and the board must vote on these actions and record them in the minutes.

Tca, and all officers, directors, and committee members scrupulously shall avoid any conflict between their respective personal, professional or business interests and the interests of tca, in any and all actions taken by them on behalf of tca in their respective capacities. All officers and board members of tca will annually complete and sign the director and officer annual conflict interest statement, which will be filed in the board meeting minutes for the year in which it was completed. If any officer, director or committee member of tca has any direct or indirect interest in, or relationsihp with, any individual or organization that proposes to enter into any transaction with tca, such person shall give notice of such interest or relationship and shall thereafter refrain from discussing or voting on the particular transaction in which he has an interest, or otherwise attempt to exert any influence on the decision.

Financial Statement Notes

PART X, LINE 2:

The organization, an illinois nonprofit corporation, is exempt from income taxes under section 501(c)(3) of the internal revenue code and applicable state law, except for taxes pertaining to unrelated business income, if any. In addition, the organization qualifies for the charitable contribution deduction under section 170(b)(1)(a)(iii) and has been classified as an organization that is not a private foundation. The organization follows the accounting standard on accounting for uncertainty in income taxes. Under this guidance, the organization may recognize the tax benefit from an uncertain tax position only if it is more-likely-than-not that the tax position will be sustained on an examination by taxing authorities, based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the organization, the continued tax-exempt status of bonds issued by the organization, and various positions related to the potential sources of unrelated business taxable income (ubit). The organization was not required to record a liability for unrecognized tax benefits.
