Governance Explanations

Form 990, Part VI, Section A, Line 2

Mitchell weisz, board member, and laurence weisz, board member, are brothers. Larry kroll, mitchell weisz, and laurence weisz have various ownerships in lee group, llc and evmor, llc which has a business relationship with family guidance centers, inc. Bridget eden-delgado and ron vlasaty, along with the previously mentioned three board members have various ownership in comprehensive consulting, inc., the management company for family guidance centers, inc.

Form 990, Part VI, Section A, Line 3

Fgc signed an agreement with comprehensive consulting inc. (cci) to outsource its operational and management functions on 04/01/2003. The agreement was approved by non-related board members. Per the agreement, cci provides management and administrative services for fgc. Larry kroll, laurence weisz, mitchell weisz, bridget eden-delgado and ron vlasaty are the sole shareholders of cci and are also board members of fgc and/or employees of cci. Each subsequent year of the management agreement, fgc and cci meets to review the financial terms of the agreement and to make any changes to the terms necessary to assure that the management fee paid does not exceed reasonable compensation for services rendered. Fgc periodically has a market study performed to document that the cci fee represents reasonable compensation. The scope of management services under the terms of the management agreement with cci are comparable to management agreements entered into by similarly situated organizations. The management fees do not exceed the amount (including fringe benefits and expenses) fgc would have incurred for the same services provided by its employees.

Form 990, Part VI, Section B, Line 11B

Governing body review of form 990 - the board retains the services of an independent cpa firm to prepare/review the organization's form 990. Management reviews the completed form 990 and provides a full copy to all voting members of the governing body prior to filing. A meeting or conference call is scheduled for the organization management to discuss form 990 with all voting members of the governing body and to answer any questions prior to filing form 990 with the irs.

Conflicts of interest policy monitoring - officers, directors, trustees and key employees are annually required to complete a conflict of interest disclosure statement as a precursor to their services to the organization. Potential conflicts are logged with and monitored by the secretary of the board. Board members having a conflict of interest with respect to a matter shall abstain from voting on that matter

The compensation of the executive director is approved by the board after using comparable data of other organizations. The executive director is not present during the discussion of his compensation. The board documents the process of determining that compensation is comparable. The board also documents all board level discussion of compensation including approval of the executive director's compensation. The compensation of other officers and key employees is determined by the executive director after the organization budgeting process.

IRS990/Desc0METROPOLITAN PREPARATORY SCHOOL (MPS) PROVIDES THE SURROUNDING PUBLIC SCHOOL DISTRICTS WITH A PRIVATE DAY SCHOOL SETTING FOR STUDENTS WHO EXPERIENCE LIMITED SUCCESS IN TRADITIONAL SPECIAL EDUCATION PROGRAMS. THE PRIVATE DAY SCHOOL PROGRAM ADDRESSES THE NEEDS OF STUDENTS WHO HAVE BEEN IDENTIFIED AS EMOTIONAL/BEHAVIORAL DISORDERED, LEARNING DISABLED, OR OTHER HEALTH IMPAIRMENT BY THE PUBLIC SCHOOL UNDER SECTION 14-7.02 OF THE SCHOOL CODE OF ILLINOIS. MPS SERVES STUDENTS IN KINDERGARTEN THROUGH THE TWELFTH GRADE, AGES 5-21 YEARS OLD. USING A MULTIDISCIPLINARY APROACH, THE SCHOOL PROVIDES EDUCATIONAL AND THERAPEUTIC LEARNING OPPORTUNITIES IN A SMALL, NURTURING ENVIRONMENT. ALL STUDENTS ARE RECOMMENDED TO MPS BY AREA SCHOOL DISTRICTS AND RECEIVE INDIVIDUAL, GROUP AND FAMILY COUNSELING IN ADDITION TO EDUCATIONAL SERVICES. MPS STAFF IS COMPRISED OF STATE-CERTIFIED SPECIAL EDUCATION TEACHERS AND PARAPROFESSIONALS AS WELL AS STATE-LICENSED COUNSELORS AND SOCIAL WORKERS.MPS SERVED AN AVERAGE OF 100 STUDENTS PER SCHOOL DAY.

IN FISCAL YEAR 2018, FGC ADMITTED OVER 1,200 PATIENTS TO METHADONE TREATMENT. THE AVERAGE NUMBER OF WEEKLY PATIENTS TO WHOM SERVICE WERE PROVIDED WAS OVER 1,300. PATIENTS PARTICIPATED IN OVER 11,000 INDIVIDUAL COUNSELING HOURS AND A VARIETY OF COUNSELING GROUPS, THE CONTENT AND FREQUENCY OF WHICH VARIED BY PATIENT NEEDS. OUTCOME DATA SHOWS THAT 86% OF PATIENTS WHO HAD BEEN IN TREATMENT A YEAR OR LONGER WERE TESTING FREE OF ILLICIT OPIATES AND 73% OF PATIENTS WERE TESTING FREE OF ALL ILLICIT DRUGS.
