“Since the board is made up of members, each year the governing body elect replacement members for particular regions. The board officers are elected by positon and approved by the members.”

“The assembly of representatives, which is partly comprised of representatives of member institutions, has the power to amend the bylaws.”

“The federal form 990 is reviewed first by the director of finance, then by the treasurer and the chief executive officer. Finally, since the acha bylaws empower the executive committee to act on behalf of the board of directors, a copy of the federal form 990 is shared with the executive committee.”

“A formal conflict of interest policy is set forth as a board policy and procedure document. It is managed by the chief executive officer's office and requires annual conflict of interest disclosures by acha volunteer leaders. Disclosures are reviewed annually to assess any potential effects on association operations, activities, or decisions, and as appropriate, leaders are contacted to remedy any problematic disclosures. Acknowledgements from the respondent are required for those remedies. Once a conflict of interest arises, in addition to disclosure, persons with the conflict are required to use their best judgement as to whether and to what extent they should recuse themselves from deliberations, voting, decision-making, and other participation with respect to the matter at issue, and whether they should resign from an office or position. In making this determination, the best interests of acha will be the sole criteria. The board of directors may require full or limited recusal or other measures, including resignation from an acha office or position.”

“The board of directors is not compensated by acha. Comparability data provided in the asae association compensation & benefits study is used to determine appropriate salary levels and then salaries are set based upon the outcome of annual performance reviews. The chief executive officer's salary is likewise determined and set by the executive committee (acting on behalf of the board of directors) also subsequent to an annual performance review. The chief executive officer's salary had a compensation review in october 2016 prior to him being hired. The staff salary review was conducted on november 2016 in preparation of the 2017 budget.”

“Governing documents (articles of incorporation, bylaws, and board policies & procedures) are available on the website, and governance highlights are published in the action newsletter. The conflict of interest policy is available via the aforementioned board policies & procedures on the website. Financial statements are summarized in the treasurer's presentation at the annual assembly of representatives which is open to the public for attendance; financial statements and performance summaries are also made available at the end of the published annual report that is posted to the website.”
