“The executive committee shall determine the priorities of the dixon petunia festival corporation, handle personnel matters that may arise, evaluate the propriety of any intended event and activity of the corporation, and shall develop the annual budget. The exective committee may exercise the powers of the board of directors when the board of directors is not in session, reporting any action taken to the board of directors at its succeeding regular meeting. The actions and the decision of the executive committee shall be binding on the corporation unless overruled by the board of directors by the majority vote of the directors at the first meeting subsequent to the action of the executive committee.”

“The form 990 is prepared by an independent accounting firm. A draft copy of form 990 is provided to the governing body for review by the return preparer prior to filing. The organization's treasurer reviews the return. If changes are necessary, they are reported to the return preparer and incorporated into the final return. Once changes are reported to the return preparer the entire board of directors are provided a copy of the return and advised to review prior to filing.”

“According to the policy, the directors, officers, and board members must disclose any conflict of interest, and the board of directors monitors and enforces compliance with the policy.”

“The organization's governing documents, financials, and conflict of interest policy are available to the public upon written request to the organization's business office.”
