“The voting right for changes in bylaws was passed from house of delegates to board of directors.”

“The association has members. The different types of voting members are as follows: active members, life members, retired/senior members, members with disabilities. Non-voting members includes international members, student members, supporting members, honorary members, allied members and corporate members.”

“Only voting members may vote for the election of delegates to the house of delegates, hold office in the association, its constituents and components, and serve on the board of directors and house of delegates. Officers (president), vice president, treasurer, speaker of the house) are elected by ballot by the house of delegates to serve for one year or until their successors are elected. District directors serve 2-year terms.”

“The board retains the services of an independent cpa firm to prepare the organizations' form 990. Management reviews the completed form 990 and provides a full copy to all voting members of the governing body prior to filing. The governing body is provided a reasonable amount of time to review the return and ask any questions directly to organization management or the contact at the independent cpa firm prior to filing.”

“At the beginning of the fiscal year, adha's board is counseled on fiduciary responsibility and their duties of care, loyalty, and obedience. Each board member completes a new conflict of interest statement, which is kept on file at central office. Additionally, at the commencement of each board meeting, the president (or their appointed representative) asks if anything has changed to present a conflict and provides the opportunity for board members to disclose any conflict or perceived conflict. Additionally, each appointed member of a council or committee completes a conflict-of-interest form which is, likewise, kept on file in adha's central office. New employees sign and date a conflict-of-interest statement upon commencement of employment. Annually, all staff must sign a new conflict of interest statement.”

“At the conclusion of each fiscal year, the executive committee completes the previously adopted evaluation instrument for the chief executive officer's performance. After all the input of members of the committee is completed, the executive committee discusses the evaluation with ceo and performance objectives for the coming year are established. Upon completion of the evaluation process, the compensation committee (president, president-elect, and immediate past president) meet with the ceo to determine a compensation package that is reflective of adha's financial position, market conditions and salary surveys from association forum of chicagoland and american society of association executives. An addendum to the ceo's contract is signed by the president and ceo. The results of the process are shared with the entire board of directors at the fall board meeting.”

“The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.”
