During the interval between meetings of the board of directors, the executive committee shall have and may exercise the powers of the board of directors of the corporation in the management of the business and affairs of the corporation, including, without limitation, the compensation of the officers of the corporation. The executive committee does not have authority to approve individual capital expenditures or commitments estimated to be more than $500,000 in any one year or $2.5 million in the aggregate. Minutes reflecting any action taken by the executive committee shall be submitted to the board of directors of the corporation at its next meeting for its information.

Nmma board directors aine denari, john buelow, and eric nelson have a business relationship with each other in their capacity as officers of brunswick corporation. Ben speciale and bill boehman have a business relationship with each other in their capacity as officers of yamaha motor corporation.
