Form 990, Part VI, Section A, Line 6

There are two classes of members: voting and non-voting. Voting members consist of (i) hospitals for the diagnosis and treatment of persons, licensed by the state of illinois or otherwise permitted to operate in illinois and (ii) such other categories of members, determined by the board of trustees, as eligible to vote. All other members shall be non-voting.

Form 990, Part VI, Section A, Line 7A

The board shall be composed of individuals elected as trustees, the immediate past chair of the board, the chair, the chair-elect, the president, ex-officio. The board shall be elected annually by the voting members of iha.

Form 990, Part VI, Section A, Line 7B

Voting members have the following retained rights: (i) to elect and remove trustees of the association; (ii) to elect the chair-elect of the association and, concurrent with the right of the board of trustees, to remove the chair, chair-elect, treasurer or secretary of the association; (iii) to propose and approve amendments to these bylaws; (iv) to approve the merger, consolidation or dissolution of the association; and (v) to amend the association's articles of incorporation.

The association's finance staff, with the assistance from the legal department, gather the information needed to prepare the form 990. The form is prepared and reviewed by the association's outside tax consulting firm, rsm us llp. After rsm's review, the final verson is then further reveiwed, and signed by the association's chief accounting officer. A copy of the return is sent to the association's board of trustees and finance and audit committee prior to filing.

Form 990, Part VI, Section B, Line 12C

Conflict of interest disclosure forms are reviewed, completed and signed by board members and officers of the entity. These are reviewed by human resources staff and senior management. When a director or officer is aware of a conflict or potential conflict of interest for himself/herself or a family member, the director or officer must disclose it to the board or the compliance officer of illinois health and hospital association. After disclosure of a potential conflict of interest, the remaining board members or officers, as the case may be, would decide if a conflict exists. If a conflict is deemed to exist, that board member or officer, as the case may be, is not allowed to vote on the matter.

A compensation committee, comprised of the executive committee of the board of trustees, is responsible for reviewing and approving the compensation of the iha's ceo and other officers and key employees. An independent compensation consultant, as well as compensation studies of other similar organizations are utilized in the process. The compensation committee documents all compensation decisions on an annual basis.

FORM 990, PART VII, SECTION A, LINE 1:

For the ease of benefit administration and payroll tax reporting requirements, illinois health and hospital association serves as the payroll administrator for all employees of the association and its related subsidiary corporations. Certain officers, key employees, and highest compensated employees provided services, such as accounting and information technology support, and direct program oversight to our subsidiary organizations. Time spent on subsidiary activities by these certain employees ranges from 5% to 100%. Iha is reimbursed for these services by the subsidiary organizations receiving the services.

Financial Statement Notes

PART X, LINE 2:

The illinois health and hospital association (the association) has received a favorable determination letter from the internal revenue service (irs) stating that it is exempt from taxation on income related to their exempt purposes under section 501(a) of the internal revenue code as organizations described in section 501(c)(6). As an exempt organization, the association is subject to federal and state income taxes on income determined to be unrelated business taxable income. The association accounts for income taxes using the provisions of asc 740, income taxes. Under asc 740, deferred tax assets and liabilities are recognized for future tax consequences attributable to differences between the financial statement carrying amounts of existing assets and liabilities and their respective tax bases and operating loss and tax credit carryforwards. Deferred tax assets and liabilities are measured using enacted tax rates and laws expected to apply to taxable income in the years in which those temporary differences are expected to be recovered or settled. The effect on deferred tax assets and liabilities of a change in tax rates is recognized in income in the period that includes the enactment date. A valuation allowance is provided when it is more likely than not that some portion of deferred tax assets will not be realized. As of december 31, 2024 and 2023, the association does not have any uncertain tax positions.
