“POLICIES: Each Director, principal officer, and/or member of the Finance Committee shall annually sign a statement which affirms such person: a. Has received a copy of the conflict of interest policy, b. Has read and understands the policy, c. Has agreed to comply with the policy, and d. Understands REMSA is a 501(c)(6) organization in order to maintain its federal tax exemption it must engage primarily in activities that accomplish one or more of its tax-exempt purposes.”

“Description of delegated duties to management company: the management company provides all staff including the president, and is primarily responsible for the following: 1. Dues collection and bookkeeping; 2. Membership recruitment and retention; 3. Develop meaningful agendas for quarterly board meetings; 4. Written and oral communications with members, including mainline newsletter; 5. Participate as appropriate in industry and related association meetings; 6. Participate as appropriate in industry-wide governmental affairs efforts; 7. Find ways to highlight the organization member companies in the industry and trade press; 8. Manage the association's website; 9. Manage relationship with investment advisor and report to board as necessary; 10. Oversee scholarship program; 11. Oversee trade show contractor 12. Manage all trade show activities.”

“Explanation of classes of members or shareholders: the association represents companies and individuals who manufacture or sell maintenance-of-way equipment, products, and services, or are engineers, contractors and consultants working in construction and/or maintenance of railroad transportation facilities.”

“Any group of twenty-five (25) or more active members in good standing may nominate and bring in a slate of one or more candidates for director who are eligible to be elected at the annual meeting, provided that such nominations are in writing, duly signed and filed with the secretary/treasurer at least fifteen (15) days prior to the annual meeting. Candidates for officers must be chosen from the board of directors. The secretary/treasurer will present the list of nominees for directors at the annual meeting and election.”

“Form 990 review process: management initially reviews the form 990, then it is forwarded to the board chairman or treasurer for approval.”
