“The executive committee is authorized to carry on the business of the college between regular meetings of the board of chancellors (boc) and report back on its activities at each regular meeting of the boc.”

The college nominating committee puts forth the slate of candidates for elected positions on the board of chancellors. The nominating committee consists of 9 members of whom 6 are elected by the council, 2 members appointed by the chair of the board, and one member appointed by the council speaker. Elections for the slate of candidates put forth by the nominating committee are done by ballot at the annual meeting and determined by majority vote.”

“Acr's process for monitoring proposed or ongoing transactions for conflicts of interest and dealing with actual, potential or perceived conflicts is guided by policy jointly sponsored by the board of chancellors and acr council and approved by the acr council. Under this policy, all acr "interested persons" must complete a coi questionnaire annually and update it as necessary. Interested persons are defined as any officer, chancellor, councilor, alternate councilor, member of an acr commission, committee or task force, persons responsible for public or private research activities related to acr, annual meeting attendee, or any other person serving in an official acr capacity. Management of potential conflicts of interest are handled by acr's legal and compliance departments under the direction of acr's general counsel, principal attorney, and vice president, corporate compliance and integrity. Failure to comply with acr's policy may result in disciplinary action up to and including removal from acr service. Noncompliance includes failure to disclose, in good faith, an accurate and complete questionnaire, timely reporting of any changes to a previously submitted questionnaire, or failure to comply with a management plan. Acr staff, including key employees, are bound by a separate but similar policy requiring disclosures of interests that could give rise to a conflict.”

“The compensation is established by acr's executive committee of the board of chancellors after an independent, outside review of industry surveys, compensation studies, and other data to ensure that executive compensation is within the range of that paid to comparable executives of comparable organizations for comparable services and therefore reasonable. These reviews are performed by an independent outside consultant for the following positions: ceo, cfo, and other key employees. The last review was performed in 2023 for all positions listed and all positions' compensation was found to be within the range for comparable executives at comparable organizations.”
