Governance Explanations

Form 990, Part VI, Line 6

Explanation of classes of members or shareholder any woman or girl of the community, twelve years of age or older, may join as a member of the ywca. All members are required to pay membership dues. Annual membership dues are free for all members under 18 years of age, and 50 for all members 18 years of age and older.

Form 990, Part VI, Line 7A

Voting the board governance committee shall consist of at least three 3 members from the general membership of the association and at least two 2 directors. The president and chairperson shall be ex-officio members of the committee but without the right to vote. The governance committee may choose to establish a nominating sub-committee. The nominating committee shall present an annual slate of candidates for election to the board. The committee shall maintain a list of potential candidates, selected from the total membership of the association, who are qualified by skill and experience to be directors or serve on the committees of the association. The committee shall present to the board electorate a ballot, including nominees for the board of directors, and the board governance committee, in advance of the last regular meeting of the fiscal year. The board of directors shall be responsible for the establishment of balloting methods that safeguard the rights of voting members to a secret ballot and provide assurance that ballots are cast only by voting members. In addition, the committee shall present candidates for vacancies occurring on the board of directors during the interim between regular elections.

Form 990 review process the audit comittee approves the form 990 and presents the information to the board. The irs form 990 is available to the board for review by intranet prior to issuance.

Explanation of monitoring and enforcement of conflicts board members review and sign their board letter of commitment, which contains a conflict of interest statement every year at the december board meeting.those members not in attendance are sent a copy to sign and return. Any conflicts a board member may have would be disclosed during this process and would be addressed accordingly key employees and all staff the conflict of interest policy is reviewed and signed the first day of employment and annually thereafter during performance reviews.

Compensation review and approval process the board of directors are provided with information from an independent consulant that the ywca uses as a basis for their review of the executive directors compensation package. The information provided by the independent consultant is reviewed by the board of directors. The deliberation and final decision was documented in writing. A salary survey is used in determining the compensation of key employees and written documents evidenced the approval.

Other program services description health services program is a grass roots program, educating low-income, uninsured or under-insured high risk women on the need for early detection of breast cancer and cardiovascular disease, osteopporosis, hiv/aids and other sexually transmitted diseases including human papilloma virus hpv . Annually, the program reaches over 5,000 individuals with culturally sensitive health education and provides access to approximately 600 free or low cost screenings and health literacy and provides access to approximately 600 free or low cost screenings and provides navigation services as needed. Total expenses were 129,737. Youth development programs ywca lake county youth development programs look at todays statistics of male dominance in technology/engineering professions and work to make a difference through our girl friendly programming. Techgyrls club provides girls ages 9-14 in underserved, at risk communities with the opportunity for more intensive exploration of science, technology, engineering, and math. The program focuses on individual and group projects, chosen by the girls themselves and offers ongoing opportunities for the mastery of hands-on technical challenges. Approximately 200 girls participated. Total expenses 122,868

It is also required to recognize or de-recognize in its financial statements positions taken or expected to be taken in a tax return on a more likely than not threshold.
