“The organization has six classifications of membership: 1. Active any reputable business firm association corporation partnership or estate having an interest in the mission of the organization and paying the prescribed fees as determined by the board. 2. Honorary individuals that have the same rights as active members except they may not hold office or vote. 3. Civic elected officials that have the same rights as active members except they may not hold office or vote. 4. Legacy individuals who wish to take a role in chamber activities but no longer have an ownership interest in nor are employed by a business. Legacy members may not hold office nor may they vote. 5. Emeritus director a person who has made significant contributions to the chamber and retains the honorary title and all rights of the last rank held with the exception of voting. 6. Other as approved by the board of directors except that they may not hold office or vote.”

“The organization has a nominating committee of active members that are appointed by the chair of the board with the approval of the board. The nominating committee has the duty to nominate from among the active membership so many members to be elected as there are board vacancies. At the expiration of a 30day notice period if there are no additional nominees the nominees of the nominating committee shall be declared unanimously elected at the annual meeting of the membership. Additional nominations may be made by any active member in good standing. If there are more nominees than vacancies a ballot shall be posted listing the nominees. This ballot will be available to active members for the election. Those candidates polling the highest votes sufficent to fill the vacancies will be declared the winner for each vacancy.”

“The organizations staff accountant and treasurer perform general review after receiving the form 990 from the tax preparer.”

“Annually the past and new board members complete and submit a questionnaire disclosing any conflicts of interest”

“The organization utilizes a compensation committee comparative compensation surveys and board oversight to establish the Chief Executive Officers salary. Annual employee performance reviews are conducted by the executive board. Salaries and bonuses are determined based on performance metrics and objectives established by the executive board.”

“Governing documents are posted on the chamber website. Conflict of interest and financial statements are available to members upon request.”

“The organization did not make any changes in their oversight or selection processes during the tax year.”
