“The Board of Managers by resolution adopted by a majority of the Managers in office, may designate one or more executive committees consisting of two or more Managers, which committees, to the extent provided in said resolution, shall have and exercise the authority of the Board of Managers in the management of the YMCA except as limited by law or as otherwise provided in these Bylaws. “The Board of Managers is the governing body of the Association. A copy of Form 990 was made available to all board members prior to filing with the IRS.”

“All officers and Board members must disclose any and all potential conflicts. Board members are required to provide a signed statement annually listing all such conflicts. The statements are reviewed by the SVP, Chief Strategy Officer and General Counsel and any items of concern are reported to the President of the Association and the Chairman of the Board of Managers and Chairman of any Board committee that may be affected. If, in the opinion of the Chair, the conflict is a direct conflict of interest, that member must recuse him or herself and abstain from any vote or action on the subject of the conflict.”
