Governance Explanations

Form 990, Part VI, Line 1A Delegate broad authority to A committee

The Board of Managers by resolution adopted by a majority of the Managers in office, may designate one or more executive committees consisting of two or more Managers, which committees, to the extent provided in said resolution, shall have and exercise the authority of the Board of Managers in the management of the YMCA except as limited by law or as otherwise provided in these Bylaws. The Board of Managers, by resolution duly adopted, may appoint committees not having and exercising the authority of the Board of Managers in the management of the YMCA to aid and assist the Board of Managers in its duties. Except as may be specified in any resolution creating such committee, the members thereof shall be such persons as the Chairperson may appoint.

Form 990, Part VI, Line 7A Members or stockholders electing members of governing body

There are Voting Members of the Association who elect the Officers of the Board of Managers annually. The Voting Members consist of: 1. All members of the Board of Trustees 2. All members of the Board of Managers 3. All members of the local YMCA Advisory Boards. Voting is typically done by mailed in proxies.

Form 990, Part VI, Line 7B Decisions requiring approval by members or stockholders

The Board of Trustees of the YMCA of Metropolitan Chicago must vote in favor of any and all decisions by the Board of Managers with respect to the sale of real property.

Form 990, Part VI, Line 11B Review of form 990 by governing body

The Board of Managers is the governing body of the Association. A copy of Form 990 was made available to all board members prior to filing with the IRS.

Form 990, Part VI, Line 12C Conflict of interest policy

All officers and Board members must disclose any and all potential conflicts. Board members are required to provide a signed statement annually listing all such conflicts. The statements are reviewed by the SVP, Chief Strategy Officer and General Counsel and any items of concern are reported to the President of the Association and the Chairman of the Board of Managers and Chairman of any Board committee that may be affected. If, in the opinion of the Chair, the conflict is a direct conflict of interest, that member must recuse him or herself and abstain from any vote or action on the subject of the conflict.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

An independent compensation consultant and Form 990s of other organizations are used in the process to determine the CEO's compensation. The Compensation Committee determines the increase.

Form 990, Part VI, Line 15B Process to establish compensation of other employees

For other key employees: Executive Directors and Officers (non-direct reports to CEO): The normal annual performance review and merit increase process includes the following: -Employee completes self-assessment. -Manager (Usually a VP level or above) writes performance review. We did conduct a performance evaluation in 2024. Everyone received a budgeted COLA of 3%. The last COLA was July 2023.

We remain a lifeline for communities by providing free, fresh produce through monthly food distribution events for families living in food deserts; teaching nutrition, healthy cooking and sustainability classes for individuals and families; pioneering innovative youth safety and violence prevention programming; offering free access to digital resources through our community hubs and bilingual helpdesk support line; providing high quality early education and care; and serving as a vital community asset across the Chicagoland area and throughout the Midwest.

The YMCA of Metropolitan Chicago (YMCA) works to strengthen individuals, families, and communities across Metropolitan Chicago and throughout the Midwest with the goal of providing them with the resources to help them learn, grow, and thrive. Our fourteen community hubs, five resident camps, and dozens of extension sites promote learning, health and wellbeing, community investment, and economic equity through a variety of high quality, research-based programs and services. Ultimately, the YMCA of Metropolitan Chicago aims to strengthen community by connecting all people to their purpose, potential, and each other. Our impact is felt every day when an individual makes a healthy choice, when a mentor inspires a child, and when a community comes together for a common good. As one of the oldest, largest, and most established nonprofit organizations in Chicago, the YMCA works to strengthen neighborhoods by responding to the unique needs of each community. In 2024, the YMCA of Metropolitan Chicago provided or served: * 300,000+ individuals across our programs, services, events, and offerings * $977,330 in membership and program financial assistance, such as day camp, swim lessons, childcare, mentorship, and more, to individuals and families who qualify * 96,930 unique individuals supported in achieving their health and wellness goals * 7,538 children and adults provided swim lessons * 4,440 individuals benefitted from Y sports programs * 664 children provided early care and education at Y Early Learning Centers * 7,108 youth engaged in dynamic after-school and summer enrichment programs * 3,379 youth benefitted from outdoor experiences at Y overnight camps * 64 adults and 115 youth participated in Y workforce development programs * 6,600+ individuals were provided access to internet and digital skills support and training through Y Tech Hubs and bilingual digital helpdesk
