Governance Explanations

Form 990, Part VI, Section A, Line 7A

Each chamber member has the opportunity to vote electronically for new chamber board members. Annually, the board of directors nominates a slate of individuals representing our chamber membership to be included on an electronic ballot to fill any open chamber board seats. Our membership of 300+ then vote for who fills those board seats. Chamber members can volunteer themselves to run for a board seat, or current sitting board members and/or the executive director of the organization can make recommendations. Anyone on the ballot must have agreed prior to run for a board seat and cannot be nominated if they are not willing to serve.

Form 990, Part VI, Section A, Line 8B

Chamber board of director meeting minutes are taken each month by the chamber board secretary, and the minutes are approved at the next month's meeting. Chamber board meeting minutes are filed at the chamber office in a secure location accessible by only board members. Committee meeting minutes are taken for some events and programming through the year by each committee to stay organized and on task, however, those are accessible to anyone, and a chamber committee must always have big decisions approved by the chamber board of directors and executive director.

The chamber executive director and chamber board treasurer review the 990 and then allow for submission. The chamber board of directors is provided a copy or the ability to review once complete and filed.

Each chamber board member signs a conflict-of-interest agreement annually and if an issue arises that would be a conflict that board member must step away from the situation and waive their voting rights.

Form 990, Part VI, Section B, Line 15

The chamber board of directors conduct an annual review of the chamber executive director based on the current strategic plan goals of the organization and also the smart goals set by the board of directors with input from the executive director. Chamber employees are reviewed annually by the executive director. Employee reviews are shared annually with the board and a compensation recommendation is given to the board from the executive director. The chamber board of directors set compensation for all chamber employees after reviews are complete and prior to the start of the chamber's next fiscal year. The process described here was last completed in 2024.
