American Concrete Pipe Association

“The association has five classes of membership: 1. Active membership - available to any business entity actively engaged in the production of concrete pipe, box culverts and/or such other products manufactured to specifications developed by astm committee c-13 on concrete pipe or as may be specified by the board of directors, and located in the united states, its possessions, puerto rico and canada. 2. Associate membership - available to any individual, partnership, corporation or association providing products and/or services to active member companies and/or the concrete pipe industry, provided, however, that any such individual, partnership, corporation or association, or the individual members of such association that are actively engaged in concrete pipe manufacture or sale must be an active member before they may become an associate member. 3. International membership - limited to any individual, partnership or corporation which is actively engaged in the production of concrete pipe and concrete products and is located outside the united states, its possessions, puerto rico, and canada. 4. Honorary membership - may be conferred by the association, upon recommendation of the board of directors, at any annual meeting, to anyone contributing professionally to the welfare of the industry but who is not actively engaged in the manufacture or sale of concrete pipe. 5. Individual membership - available to any individual who is employed by an active member, associate member, or is affiliated or endorsed either by an active or associate member and in addition is supportive of the goals and objectives of the association.”

“Each member class has the power to elect or appoint a representative board member of the governing body. For the purpose of governing the association, the united states, its possessions, puerto rico and canada are divided into 5 or more regions, the geographical boundaries of which are determined by the board of directors. Active members of each region elect one board member to serve a 2-year term. No member company may be represented by more than two directors. If a member company has two directors, only one is permitted to vote. The associate members appoint two representatives to the board for 2-year terms. Only the longer tenured associate board member is permitted to vote. During the annual convention of the acpa the individual members will meet to choose its individual member representative. The candidate receiving the most votes will be the individual member representative to the board for a 2-year term.”

“Each active member in good standing is entitled to one vote in person or by proxy at each member meeting. Active members have the power to vote on and approve: bylaw amendments, class schedules and rates, and any other major changes or decisions of the organization.”

“Review of form 990 form 990 is prepared by outside accountants and is reveiewed by the president and the controller before it is signed and filed.”

“Conflict of interest policy the association's conflict of interest questionnaire is completed and signed by the members of the board of directors, officers, and key employees on an annual basis. Any conflict of interest issues evident from the questionnaires or by any other means are investigated by the executive committee and/or legal counsel, as they are needed.”

“Determination of compensation the process for determining compensation for the president and key personnel involves an independent executive committee's annual review and approval of all salary increases. The review involves comparability data and includes documentation of the compensation decisions. The president performs the annual review and assigns compensation for all other employees.”

“Availability of documents to the public the documents are available upon request.”

“Form 990 is prepared by outside accountants and is reviewed by the president and the controller before being signed and filed.”
