Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall consist of the chairperson, vice-chairperson, second vice-chairperson, treasurer secretary, immediate past chairperson, and the president/ceo. It shall exercise the powers of the board whenever emergencies require action between meetings and shall report to the next meeting of the board. The board shall have the power to create such administrative committees, councils, or other working groups as it may from time to time deem advisable for the efficient operation of the corporation. If and when such committees, councils, or other working groups are created, the board shall define the scope of their work at the time of their creation. It shall also approve the creation of specialized committees, councils, or other working groups as may be required to achieve the objectives and program of work of the chamber.

Per the organization's by laws the organization has members who are individuals or businesses in good standing within the community who pay dues based on an investiture schedule.

Members of the board are nominated by a nomination committee created by the board. Full members of the chamber are then allowed to vote for the new members.

Form 990, Part VI, Section B, Line 11B

To maintain its status as a section 501(c)(6) not-for-profit business association, the dixon chamber of commerce and main street, inc.(the "chamber") is annually required to file form 990 -return of organization exempt from income tax with the internal revenue service. Prior to filing form 990, the president of the chamber will distribute form 990, as prepared by its accountant, to each member of the executive committee of board of directors (the "executive committee"). After receiving a copy of form 990, the executive committee shall discuss the prepared form 990, and each member will be given an opportunity to ask questions or raise concerns. Form 990 shall only be filed after a majority vote of the executive committee authorizes the filing of the same. In addition, form 990 shall be available for review and inspection by the other members of the board of directors.

Form 990, Part VI, Section B, Line 12C

Each member of the board is required to sign a statement at the beginning of their term acknowledging understanding of the conflict of interest policy, and its goals. If the board becomes aware, or has reasonable cause to suspect a member has violated the conflict of interest policy it shall inform the member of the basis of such belief and allow the member to explain the possible violation. If the board so warrants further investigation, and/or disciplinary and corrective action may result. The policy covers any director, principal officer, or member of a committee which has been delegated board powers, who has a direct or indirect financial interest. Potential conflicts are reviewed by the board. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, the interested person shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. When a person is deemed to have a conflict, the interested person shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The minutes of the board and all committees which have been delegated board powers shall contain the proceedings resulting from conflicts of interest.

Salaries for the organization's officers and key employees are set in the budget process and are compared to other chamber associations. Additionally, salaries are compared to other economic development professionals. This process is reviewed by the executive committee and presented to the full board of directors and documented in the minutes.

Form 990, Part VI, Section C, Line 19

Because of its status as a 501(c)(6) business association, the dixon chamber of commerce and main street inc. (the "chamber") is required to make its governing documents, conflict of interest policy and financial statements (collectively referred to herein as "public documents") available to the public. The chamber complies with this requirement by maintaining the public documents at its corporate office. During normal business hours, the public documents are available at the aforementioned address for inspection, provided that such inspection shall not unreasonably interfere with the chamber's operation of its business. The chamber shall take all reasonable steps necessary to cooperate with anyone wishing to inspect the public documents.

PART X, LINE 2:

The organization qualifies as a tax-exempt organization under section 501(c)(6) of the internal revenue code (irc) and as such, is not liable for income taxes. The organization is classified by the irc as other than a private foundation. The chamber accounts for uncertainty in income taxes under the authoritative guidance issued by financial accounting standards board (fasb). The chamber uses a threshold of more-likely than-not to be sustained upon exanimation to account for uncertainty income taxes. Measurement of the tax uncertainty occurs if the recognition threshold has not been met. This guidance also addresses derecognition, classification, interest and penalties, disclosure, and transition. The chamber conducts business solely in the u.s. And, as a result, files federal and illinois tax returns. In the normal course of business the chamber is subject to examination by taxing authorities. Presently, there are no ongoing income tax audits or unresolved disputes with the tax authorities that the chamber currently files or has filed with.
