“The Executive Committee shall consist of the Board Chair and the Vice Chairs. The Board Chair shall chair the Executive Committee. The Executive Committee shall have the authority to act for and in lieu of the Board between the regular meetings of the Board and in the absence of a special meeting of the Board, provided, however, that the Executive Committee is not authorized to undertake the following: 1. Adopt a plan for the distribution of the assets of the corporation, or for dissolution; 2. Fill vacancies on the board or on any of its committees; 3. Elect, appoint or remove any officer or director or member of any committee, or fix the compensation of any member of a committee; 4. Adopt, amend, or repeal the bylaws or the articles of incorporation; 5. Adopt a plan of merger or adopt a plan of consolidation with another corporation, or authorize the sale, lease, exchange or mortgage of all or substantially all of the property or assets of the corporation; or 6. Amend, alter, repeal or take action inconsistent with any resolution or action of the board of directors when the resolution or action of the board of directors provides by its terms that it shall not be amended, altered or repealed by action of a committee. The Executive Committee shall also review the performance of, and approve compensation for, the President.”

“All members of the Heartland Alliance board of directors, as well as members of the organization's subsidiary board of directors, annually sign a conflict of interest policy, copies of which are retained in the president's office. In addition, all Heartland Alliance senior management, which includes its members of its business office leadership team (BOLT), business initiative & resource development (BIRD), and executive team, are required to annually sign the conflict of interest policy. A copy of the board of directors policy is posted on a password protected portion of the organizations website, designated for board members. A copy of the policy for management is posted on the organizations intranet. Policy requires disclosure of any situation in which there may be even an appearance of potential conflict of interest. When appropriate, members of the board of directors, or senior management, recuse themselves from decision-making if there is any conflict of interest. Relative to board of committee actions, this is reflected in the meeting minutes. The policy is reviewed regularly by the chief risk officer of the organization. Additional monitoring including the reviewing of chief risk officer's policy is performed by the organization's executive team and the risk policy committee of the board of directors.”

All efforts were focus on the final dissolution process and a certificate of dissolution was filed with the state of Illinois, effective July 8, 2025.”
