Governance Explanations

Form 990, Part VI, Section A, Line 6

Membership consists of 1) regular membership, which is open to suppliers of products or services used in research and applied science, and life science worldwide. Companies must have been in business for a minimum of two years and have annual sales over $1m. 2) associate membership, which is open to publishers and advertising agencies with a demonstrated interest in the industry.

Board members are elected by the full membership at the annual meeting. Each affiliated association shall elect a chair and vice-chair who shall be eligible to serve no more than two consectuive one-year terms and who shall be members of the board of directors of laboratory products association by virtue of their office. In the event of death, resignation, or incapacity to act of any director who holds such position by virtue of being the chair or vice-chair of an affiliated association, the vacancy so created shall be filled in accordance with that affiliated association's operating procedures.

Financial Statement Notes

PART X, LINE 2:

The association is exempt from the payment of income taxes on its exempt activities income under section 501(c) (6) of the internal revenue code. However, any unrelated business income is subject to income tax. The association had no taxable business income for the years ended june 30, 2025 and 2024, therefore no tax liability has been accrued. Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken and recognize an income tax liability if the organization has taken an uncertain position that more likely than not would not be sustained upon examination by the internal revenue service. Management has evaluated the tax positions taken by the association and concluded that as of june 30, 2025 and 2024, there were no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the financial statements. As of june 30, 2025, the statute of limitations for tax years 2021 through 2023 remains open with the u.s. Federal jurisdiction and the state and local jurisdictions in which the association files returns.
