“Smart was managed by the association management company of management solutions plus, inc. Smart maintained its offices at msp-amc's headquarters at 1300 piccard drive, suite ll 14, rockville, md 20850. All regular smart staff members are employees of msp-amc and were provided to smart on an as-needed basis. Msp-amc and smart had a letter of agreement that defined the responsibilities of the management firm. A management fee was negotiated that covered the cost of the smart executive director, support staff, office equipment, and office space. Effective may 2025, smart is managed by c2 association strategies at their offices at 201 n union st., suite 110, alexandria va 22314.”

“Smart's bylaws provide for three classes of membership: (1) industry members,(2) associate members, and (3) secondary members.”

“A draft of form 990 is reviewed by the treasurer of the board, prior to filing. A copy of the final form 990 is emailed to all board members upon filing.”

If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.”
