The membership consists of 89 local associations and international affiliates with which boma has affiliation agreements.

The local associations and international affiliates responsibility is to elect the officers and executive committee as well as approve members at large and life members. The board of governors are individuals appointed by each of the local associations.

The local associations and affiliates approve the annual budget, bylaw changes and other governance related issues vetted through the executive committee.

The president and senior vp will perform the initial review of the form 990. Once this review is complete, the officers and executive committee will be informed the draft is available for their review and the return will made available for board of governors examination.

All executive committee members, officers and staff at the director level and above must read and sign the conflict of interest policy on a yearly basis.

Employee compensation policy: the employee compensation policy of boma international applies to the compensation of the following persons employed by boma international: president/chief operating officer all other staff the process for establishing compensation for the president/chief operating officer will be as follows: 1. At the direction of the officers of boma international, the chief financial officer will provide comparable compensation data from the american society for association executives annual salary survey and any other salary surveys that are deemed appropriate. This data will consist of data from compensation survey data for similarly qualified persons in functionally comparable positions at similarly situated organizations. 2. The officers will review the information and determine the appropriate level of compensation. 3. The officers will keep contemporaneous documentation with respect to the deliberations and decisions regarding the compensation arrangement. This information will be forwarded to the chief financial officer for safekeeping. It is the responsibility of the president/chief operating officer to set compensation for all staff. The process for establishing compensation for all other staff is as follows: 1. Annually during the budget process the executive staff will recommend a percentage of total wages to be set as the raise pool to the boma officers. This percentage will be based on industry information as supplied for the local market. 2. The executive staff will develop a raise schedule to be weighted by performance appraisal scores. 3. As performance appraisals are completed, raises will be calculated based on the schedule and forwarded to the president/chief operating officer. Industry compensation surveys will be made available to allow for comparison, specifically from the annual salary survey published by the american society for association executives and any other salary survey deemed appropriate. It will be the responsibility of the president/chief operating officer to make final decision for compensation. 4. Contemporaneous documentation of this process will be maintained by the chief financial officer.

PART V, LINE 4:

Board designated net assets represent unrestricted net assets designated as boma's reserve fund to ensure the stability of the mission, programs, employment and ongoing operations of the organization and to provide a source of internal funds for organizational priorities such as opportunistic program development or mission capacity enhancements.

PART X, LINE 2:

The association, foundation and the pac are generally exempt from federal income taxes under the provisions of sections 501(c)(6), 501(c)(3) and section 527 of the internal revenue code (irc), respectively. Income, which is not related to exempt purposes, less applicable deductions, is subject to federal and state corporate income taxes. Neither the association, foundation or pac had net unrelated business income for the year ended december 31, 2020. The provisions of fasb asc, accounting for uncertainty in income taxes, address the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the consolidated financial statements. Under this guidance, the association may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. The tax benefits recognized in the consolidated financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes and accounting in interim periods. Management evaluated boma's tax positions and concluded that boma has taken no uncertain tax positions that require recognition in the financial statements.
