“The organization has active and associate members. The active members shall consist only of corporations, partnerships, and sole proprietorships engaged in manufacturing either in the state of illinois, or elsewhere in the u.s.a. With headquarters in the state of illinois. Active members shall have the right to hold office or serve as directors. The associate members shall consist of corporations, partnerships, and sole proprietors engaged in manufacturing outside of illinois but in the u.s. Or those that are interested in manufacturing pursuits in the united states. No associate member shall have the right to hold office or serve as director. In all other aspects, associate members shall enjoy the same rights and privileges as active members.”

“The board serves two-year terms so that each year one-half of the board is elected. Ballots are sent to all active members in the fall for them to vote on the directors whose term would expire.”

“Minutes are on file for each board meeting, but not each committee meeting. In most cases, major decisions made in committee meetings would be reported at board meetings and recorded in the minutes.”

“The form 990 and all other related tax returns are prepared by an outside accounting firm and are reviewed by the association's management and executive committee prior to filing.”

“Conflict of interest sheets are signed annually.”

“For all employees other than the president, ima compiles compensation data from an associated forum survey for each job title (or as close as the association can get to a job title). Ima then compares that to the employee's current compensation and tries to keep them below the 75th percentile. Then once the preliminary budget is completed, a request is sent to the board compensation committee for any increases that can be supported by the budget so these can be approved or rejected. The president's salary is solely decided by the chairman of the board. The president is free to supply that person with whatever documentation they wish to substantiate an increase. In most years, the president has received what was given to the staff.”
