Per the foundation's bylaws, the directors are appointed annually by the board of directors of the greater indianapolis chamber of commerce, a related tax-exempt organization.

Form 990, Part VI, Line 7B Decisions requiring approval by members or stockholders

The Greater Indianapolis Chamber of Commerce must approve amendments to the articles of incorporation and bylaws that purport to modify the Chamber's authority to appoint the directors of the Foundation.

The foundation does not have committees with authority to act on behalf of the governing body.

The organization's form 990 is reviewed in detail by management. Once management has finished their review the form 990 goes to the board of directors for review.

Form 990, Part VI, Line 12C Conflict of interest policy

The Foundation has a conflict of interest policy, and Foundation directors and officers are required to complete an annual conflict of interest statement on which they disclose, in writing, any known financial interest that the individual (along with family members) has in any business entity that transactions business with the Foundation. In addition, directors and officers are required to immediately disclose any possible conflict of interest that arises at any time during the year in connection with a proposed transaction. The conflict of interest policy requires that any individual with a conflict be recused from the decision-making process. Independent directors must determine that the transaction is in the best interests of the Foundation and they must approve the transaction without the participation of any interested director.

The Foundation's articles of incorporation and business entity report are on file with the Indiana Secretary of State and are available to the public on the Secretary of State's website. The Foundation files an annual Form 990 which is available upon request to the Foundation and/or available on a delayed basis on www.guidestar.org and www.irs.gov.

Financial Statement Notes

Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

The Foundation is exempt from federal income taxes under Section 501(c)(3) of the U.S. Internal Revenue Code. Accordingly, no provision for federal or state income taxes has been made. The Foundation is not considered to be a private foundation. Accounting standards require that the Foundation disclose the amount of potential benefit or obligation to be realized as a result of an examination performed by a taxing authority. For the years ended December 31, 2024 and 2023, management has determined the Foundation does not have any tax positions that result in any uncertainties regarding the possible impact on the Foundation's financial statements. The Foundation does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. The Foundation recognizes interest and/or penalties related to income tax matters in income tax expense. The Foundation did not have any amounts accrued for interest and penalties at December 31, 2024 and 2023.

Accordingly, no provision for federal or state income taxes has been made. The Foundation is not considered to be a private foundation. Accounting standards require that the Foundation disclose the amount of potential benefit or obligation to be realized as a result of an examination performed by a taxing authority. For the years ended December 31, 2024 and 2023, management has determined the Foundation does not have any tax positions that result in any uncertainties regarding the possible impact on the Foundation's financial statements. The Foundation does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. The Foundation recognizes interest and/or penalties related to income tax matters in income tax expense. The Foundation did not have any amounts accrued for interest and penalties at December 31, 2024 and 2023.

In addition, directors and officers are required to immediately disclose any possible conflict of interest that arises at any time during the year in connection with a proposed transaction. The conflict of interest policy requires that any individual with a conflict be recused from the decision-making process. Independent directors must determine that the transaction is in the best interests of the Foundation and they must approve the transaction without the participation of any interested director.
