Governance Explanations

Form 990, Page 6, Part VI, Line 11B

The board has the responsibility for reviewing the organiation's form 990 (including all pertinent schedules) before it is filed with the internal revenue service. A draft of the form 990 is ready for review by the board prior to the filing deadline. After the draft of the form 990 has been obtained by the board, they will hav time to complete their review. In conducting their review of the draft of the form 990, the board conducts a top-level or big-picture type of review. However, if the board deems it necessary to conduct a more detailed review of the form 990, then they contact the preparer of the form 990 to requeset copies of the relevant detailed tax return workpapers which they would like to see. Once the board has completed its initial review of the form 990, a meeting or conference call may be scheduled with the preparer of the form 990 to discuss any questions, comments, and suggested revisions identified by the board. The preparer of the form 990 makes any revisions to the form 990 as soon as feasibly possible to ensure that the form 990 is filed with the internal revenue service on a timely basis. All questions, comments, and suggested revisions set forth by the board are documented, along with any responses from the preparer of the form 990, if applicable.

The board of directors and officers prepare an annual disclosure of any possible conflicts of interest. These disclosures are reviewed by the organization's management team, and should any disclosure justify further discussion/determination, the full board would vote on the transaction without the board membmer or officer present for the deliberation. There were no instances of the organization having to enforce compliance with the conflict of interest policy.

Nmv aims for compensation to be competative with other mission-driven nonprofits of similar budget sizes (not a venture fund). We regularly review pay to ensure consistency accross the organization within each salary band that has been set by the board. Compensation changes are evaluated annually during the annual performance review. The board relies on comparability data to determine and approve the compensation of the executive director. The board utilizes resources such as similary situated exempt organizations in their areas to benchmark pay along with market information from other exempt organizations and for- profit organizations to assess the competitiveness and reasonableness of the compensation. Once a decision has been made, a vote is taken for approval by the board. Recusal of the individuals whose compensation is being determined is mandatory. A similar process is in place for determining the compensation of the other key employees, if any.

Theme of 2024: advancing democracy, amplifying voices 2024 was a defining year for new media ventures. In a moment of political noise and social uncertainty, our team not only met the moment, we shaped it. We kicked off the year with ambitious goals, and by december, nmv had delivered on nearly every one of them, channeling our deep belief that social power plus political power equals people power. The tenth nmv summit was our biggest production yet: three days of innovation, energy, and connection among founders, funders, and changemakers. We launched the first-ever latine voices for democracy (lv4d) accelerator, supporting ten latine-led media organizations in six critical states to combat mis- and disinformation while expanding civic engagement. Participants received funding, hands-on coaching, and transformative partnerships with nmv portfolio companies like indiegraf and legitimate. The outcomes expanded reach, new voter guides, strengthened newsroom capacity, and revitalized digital platforms. This also underscored the power of resourcing local, community-rooted media leaders. Throughout the year, our entrepreneurs-in-residence kept connection at the heart of our portfolio strategy. They reignited founder engagement and delivered ten original webinars tackling everything from equity crowdfunding to founder wellness, ensuring our portfolio remained resilient through an election year. Nmv surpassed our long-term goal of reaching 150 investments ahead of our 15th anniversary, with 157 founders now part of our growing movement ecosystem. In a year defined by transition, nmv remained a constanta force championing democracy, equity, and the future of media innovation.
