Clemson University Chapter of the Pi Kappa Alpha Fraternity

“The organization is a nonprofit membership-based social fraternity classified under section 501c7. It is not organized as a stock corporation partnership joint venture joint-stock company or limited liability company. The organization consists solely of voting members who are student fraternity members in good standing. Members have the right to elect the governing officers vote on bylaws and other major decisions and participate in chapter activities. The organization has no stockholders and does not issue ownership interests of any kind.”

“The organization is a membership-based social fraternity. All active members in good standing have the power to elect the officers who serve as the governing body of the organization. Elections are conducted annually by majority vote of the membership. The organization has no stockholders or other persons with appointment authority beyond the voting rights exercised by its members.”

“The organization has one class of members: active undergraduate members in good standing. These members have the right to vote on major organizational decisions including the election of officers approval of the annual budget amendments to bylaws disciplinary matters and any actions that materially affect the operations of the chapter. Each member has one vote and all decisions requiring member approval are made by majority vote unless otherwise specified in the bylaws. No other class of persons holds voting rights or approval authority.”

“The Treasurer prepared the Form 990 and provided a complete draft to the chapters Executive Board for review prior to filing. The Executive Board members were given the opportunity to ask questions request clarifications and suggest any corrections. After review and approval by the Executive Board the Treasurer submitted the Form 990 to the IRS.”

“The chapters Executive Board reviews the conflict of interest policy at the beginning of each academic year and reminds officers of their annual disclosure responsibilities. Officers are required to disclose any potential conflicts when elected and whenever a new potential conflict arises. The Executive Board monitors compliance informally during meetings by requiring officers to recuse themselves from discussions or decisions where a conflict exists. Any reported concerns are reviewed by the Executive Board which addresses violations as needed in accordance with chapter bylaws.”

“The organization makes its governing documents conflict of interest policy and Form 990 available to the public upon request by contacting the chapters executive officers.”
