Governance Explanations

Form 990, Part VI, Line 11B Review of form 990 by governing body

The CFO does a detailed review of the Form 990. The Form 990 is also reviewed by an independent accounting firm. The 990 is accessible to all board members prior to filing the return.

Form 990, Part VI, Line 12C Conflict of interest policy

The board of directors are required to disclose known conflicts of interest statements which are reviewed annually for possible conflicts. In the event there is a conflict of interest regarding a board member, the member would be required to recuse themselves from voting on the matter. If no vote is required, they would not participate in any discussion that would arise. If the conflict prevents them from being able to be objective, they would be removed from the board.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

The Executive Committee of the Board reviews the CEO's accomplishments for the preceding year, and makes their recommendations to the entire Board during an executive session. The Board then votes the evaluation and sets the goals for the upcoming year.
