The sole member, franciscan alliance, inc., elects all directors.

The following matters are reserved exclusively to the member for consideration and action and must be submitted to and receive the approval of the member: (a) amend, restate, repeal or replace the articles of incorporation; (b) adopt, amend, restate, repeal or replace the bylaws; (c) authorize the merger, consolidation, or dissolution of the foundation; (d) authorize the sale, pledge, lease or exchange of the foundation's assets (e) authorize the incurrence of debt by the foundation; (f) select or remove the foundation's independent auditors; (g) take action on matters which may be specified by the member from time to time; (h) authorize actions otherwise requiring member approval by law or which the board determines are advisable to be considered by the member; (i) settlement of proceedings for which indemnification or advancement of expenses may be sought; (j) determine whether the foundation is in compliance with the ethical and religious directives for catholic health care services; (k) approve the annual budgets of the foundation, and amendments thereto with such modifications as the member may deem necessary or appropriate and any unbudgeted expenditures of the foundation in excess of one hundred thousand dollars ($100,000); (l) approve the chairperson of the regional council of each of the regional divisional offices of the foundation, and to remove such individuals with or without cause; (m) adopt, amend, restate, repeal or replace the charter of each of the regional divisional offices of the foundation; (n) create, determine the boundaries, reorganize, consolidate or discontinue the divisional offices of the foundation; (o) voluntarily declare and file for bankruptcy of the foundation; (p) approve the admission or removal of a member; (q) approve a strategic plan of the foundation and any modifications thereto or replacements thereof developed and recommended by the board of directors of the foundation, with such modifications thereto as the member may deem necessary or appropriate; (r) change the status of the foundation for federal tax purposes or make any federal or state tax election on behalf of the foundation; (s) establish any subsidiaries or affiliates of the foundation or enter into any joint venture arrangements involving the foundation; (t) promulgate policies binding on the foundation; (u) adopt, amend and terminate employee benefits and employee benefit plans; (v) require the foundation to participate in the member's shared services programs; and (w) approve the foundation's acceptance of any gift or bequest which includes either an interest (including future interests) in real property, or other assets which are encumbered in any way.

Richard e. Fry endowment - through the generous gifts of many donors and mrs. Fry, this endowment fund is being established to finance annual nursing scholarships and will be known as the richard e. Fry, m.d. Memorial nursing scholarship fund. The income from this endowment shall be used to fund annual scholarship awards. Any unused portion from this endowment shall be reinvested in the endowment, or placed in the restricted nursing scholarship account for future use. John emhardt memorial endowment - this endowment fund is used to fund the emhardt role model operating fund which provides an annual role model award and annually donates $1,000 to the micon fund. Cohen-kline - set up by the cohen and kline families in 1979. Interest is to fund needs determined annually as directed by a designated member of the cohen family. Goldberg memorial - proceeds from this fund are to provide scholarships for medical students attending midwestern university. Established in 1987 by beverly goldberg to provide honorarium for annual goldberg lecture. St. Anthony medical center endowment fund - the primary purpose of the fund shall be to provide support to st. Anthony medical center, inc., or its successor, to carry out its role and mission as described by its governing documents. The dr. John lanman clinic - serves the working poor, under-insured and uninsured patients living in northern lake county. The monies in this endowment fund will be used to assist patients with the cost of medications, transportation, healthcare and other needs as determined by the dr. John lanman endowment fund manager & assistant fund manager, with consultation from the ni foundation. Fancher scholarship - to provide annual $500 scholarships to a student(s) of the st. Elizabeth school of nursing that will be enrolled in the fall semester. The student(s) must demonstrate financial need and have a minimum gpa of 3.0 or better. The awarded scholarship may be renewable beyond year 1 as long as the recipients maintain a minimum 3.0 overall gpa. Betty mckay schober scholarships - to provide scholarship funds in the amount of $1000 per year to an incoming first year nursing student at the st. Elizabeth school of nursing. Minimum criteria to be considered include: be a us citizen and/or legal permanent resident of the us; be admissible to the son for the autumn semester after graduation from high school; and have a high school gpa of 3.2 or more on a 4.0 scale. Additional criteria to be considered is that preference will be given to students from a farm/small town and/or who have succeeded in spite of a difficult family situation, such as a family member with cancer, longterm unemployment of a parent, etc. Oesterling-whitaker scholarships - to provide annual scholarships to a sophomore or junior st. Elizabeth school of nursing student(s). The student(s) must demonstrate financial need and be a good student (not necessarily a great student) in the classroom, but one that has a heart for service and compassion for others. Sally watlington scholarships - the fund is being established to support an annual $1000 scholarship to a student(s) of the st. Elizabeth school of nursing that will be enrolled in the fall semester. The student(s) must demonstrate financial need and have a minimum gpa of 3.0 or better. The awarded scholarship may be renewable beyond year one as long as the recipient(s) maintain a minimum 3.0 overall gpa. St. Clare medical auxiliary st. Elizabeth school of nursing - fund is being established to support an annual $1000 scholarship to a student(s) that will graduate a montgomery county, indiana high school or a home schooled senior residing in montgomery county, indiana. Students will be enrolled at the st. Elizabeth school of nursing in the following fall semester. Students must demonstrate financial need and have a minimum gpa of 3.0 or better. THE OVERARCHING PURPOSE IS TO CONTINUE THE HEALING MINISTRY OF CHRIST IN ACCORDANCE WITH THE TEACHINGS OF THE ROMAN CATHOLIC CHURCH AND IN PARTNERSHIP WITH OTHERS TO PROVIDE A FULL CONTINUUM OF HEALTH CARE SERVICES; THE FOUNDATION IS DEDICATED TO ADDRESSING THE EVER-GROWING HEALTHCARE NEEDS OF OUR PATIENTS AND TO SUPPORTING ALL FRANCISCAN ALLIANCE, INC.'S HEALTH CENTERS IN THEIR COMMITMENT TO BUILDING HEALTHIER COMMUNITIES.
