Form 990, Part VI, Line 7A Members or stockholders electing members of governing body

The Chair of Indiana Philanthropy Alliance, Inc. (IPA) has the authority to appoint up to two directors provided, however, that if the officers of IPA comprising the Foundation board, at any time and for any reasons, be so small in number that the organization's directors would number less than three, than the Chair of IPA shall appoint one or more members as additional directors. The Chair of IPA also has the authority to remove or replace the directors.

Form 990, Part VI, Line 11B Review of form 990 by governing body

In keeping with Indiana Philanthropy Alliance Foundation's values of operating in ways that are ethical and transparent, the following policy will guide the organization's compliance with Form 990 submissions: The IRS Form 990 annual tax filing (and other required filings such as 990-T as needed) shall be reviewed and approved by the President/CEO and the IPA Foundation Board Chair and Board Treasurer (or in either one's absence another member of the IPA Foundation board) prior to submission. In addition, the full board shall receive a copy of the IRS Form 990 (and other required filings) before submission.

Form 990, Part VI, Line 12C Conflict of interest policy

The Indiana Philanthropy Alliance Foundation, Inc. conflict of interest policy covers all Indiana Philanthropy Alliance Foundation board members, officers and staff. Board members, officers and staff have the responsibility to disclose the existence of any conflict or appearance of a conflict to the President/CEO or the Chair of the Board of Directors at the earliest possible time. The board member, officer or staff with the conflict or potential for appearance of conflict is expected to excuse himself or herself from any involvement in any decision related to the matter. This does not prevent a board member, officer or staff member from briefly stating his/her position in the matter, or from answering pertinent questions related to the matter.

IRS990/Desc0The Foundation awarded a grant to Indiana Philanthropy Alliance to administer the Gift Technical Assistance Program which provides technical assistance, training, and resources to over 90 community foundations and affiliate funds participating in the GIFT (Giving Indiana Funds for Tomorrow) initiative. In 2024, using this grant, IPA's training events encompassed nearly 1,000 participants serving communities throughout Indiana. Approximately 150 attendees attended three "Boot Camps"-basic training for community foundation and board and staff members-and over 400 GIFT technical assistance in-person and virtual consultations ranging in scope, issue area, and complexity.

In addition, the full board shall receive a copy of the IRS Form 990 (and other required filings) before submission.
