Governance Explanations

Form 990, Page 6, Part VI, Line 6

Per the by-laws of the corporation, there is a board of directors composed of representatives from the governmental membership and the corporate/business membership. The corporation has three classes of membership. The general membership includes those nongovernmental members making a membership payment of 4,000 or more annually through the payment of dues as set by the board of directors. General members will become member of the board of directors having full voting rights and duties conferred upon the board of directors. The governmental membership includes a member designated by the city council of martinsville, the town council of mooresville and the county commissioners of morgan county. Upon making an annual membership payment of dues to the corporation of 50,000 each member has one appointment to the board of directors and the executive committee. The special membership includes an individual or organization approved by a majority vote of the board of directors and have such rights as designated by the board of directors. The martinsville and mooresville chambers of commerce shall each be entitled to one non-voting special membership on the board of directors. An associate membership level of special members shall be granted to any entity for an annual membership payment of 1,500.

Conflicts of interest statements are given to board members annually for them to read, sign and return the completed forms to the offices of mcedc. The completed conflict of interest forms are filed at the mcedc office. If conflicts should arise they are discussed and resolved.

The corporation is organized as an indiana nonprofit corporation and has been recongnized by the irs as exempt from federal income taxes under irc section 501(a) as an organization described in irc section 501(c)(6) and has been determined not to be a private foundation under irc sections 509 (a)(1) and (3). Respectivley. The corporation is required to file a return of organization exempt from ince tax (form 990) with the irs. In addition, the corporation is subject to income tax and net income that is derived from business activities that are unrelated to their exempt purpose. We have determined that the corporation is not subject to unrelated business income tax and has not filed an exempt organization business income tax return (form 990-t) with the irs.
