All board members and employees are required to complete an annual conflict-of-interest disclosure and to promptly disclose any new conflicts as they arise, with a $25 gift limit and prohibitions on self-dealing, misuse of confidential information, and other listed improper practices. Potential conflicts must be reported to the director of operations, who provides guidance, determines whether a conflict exists, and documents and monitors compliance. When a conflict is present, the affected board member or employee must refrain from influencing or participating in related purchasing, contracting, leasing, or other agency decisions, and any such matter is reviewed by the director of operations for appropriate action.

Compensation process for top official: the executive director is subject to annual review by the executive committee of the board of directors. Based on this review, compensation is determined by the considering compensation of like individuals with similar organizations. Compensation is determined by the executive director in reference to like positions with other organizations.

PART V, LINE 4:

Income from both the permanently restricted and unrestricted endowments is available to support the organization's operating budget.

PART X, LINE 2:

Prevail, inc. Of hamilton county and prevail foundation, inc. Received determinations from the u.s. Treasury department stating they qualify under the provisions of section 501(c)(3) of the internal revenue code as tax-exempt organizations; however, these organizations would be subject to tax on income unrelated to their tax-exempt purposes. For the years ended june 30, 2025 and 2024, no accounting for federal and state income taxes is required to be included in the accompanying consolidated financial statements. Professional accounting standards require prevail to recognize a tax liability only if it is more likely than not the tax position would not be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax liability greater than 50% likely of being realized on examination. For tax positions not meeting the more-likely-than-not test, no tax liability is recorded. Prevail examined this issue and determined there are no material contingent tax liabilities or questionable tax positions. Tax years ended after june 30, 2021 are open to audit for both federal and state purposes.
