Governance Explanations

Form 990, Part VI, Section A, Line 4

The following change was made to the organization's bylaws during the year: each director shall be limited to two (2) successive complete three (3) year terms. A past director having two (2) successive three (3) year terms shall not be eligible for election to the board of directors for a period of one (1) year following the termination of a third successive term, but shall otherwise be eligible for appointment to serve the unexpired term of another director.

Form 990, Part VI, Section B, Line 11B

The completed form 990 is reviewed in detail by management. Once approved by management, the form is reviewed and approved by the finance committee and board treasurer. The form 990 including required schedules, as ultimately filed with the irs, is provided to every member of the governing body to review prior to being filed with the irs.

Form 990, Part VI, Section B, Line 12C

Each officer and board member annually completes a conflict of interest document, stating any potential conflicts. These documents are reviewed by the president/ceo. If any conflicts of interest are disclosed in the document, the president/ceo will inform the board chair. The board chair will ensure that any individual with an actual or potential conflict of interest abstains from voting on matters related to the conflict.

Form 990, Part VI, Section B, Line 15A

The executive committee annually reviews the compensation of the president/ceo. At the time of the annual performance review, the executive committee utilizes industry and regional compensation knowlege in addition to review of similar organization's compensation from the forms 990 to ensure reasonable compensation arrangements. The deliberations are documented in the executive committee minutes. The decision is presented to the full board of directors for approval and the decision is documented in the board minutes. Form 990, part vi, section b, line 15b: the question has been answered "no" as it is not applicable since the organization does not have other officers or key employees that meet the form 990 definitions.

Audited financial statements, governing documents, and conflict of interest policies are not required disclosures pursuant to internal revenue code (irc) section 6104. These documents are not available publicly; however are available upon request.

Financial Statement Notes

PART V, LINE 4:

Tangram's use of endowment fund income will be strategic, time-bound projects that are mission-driven and would position tangram for long term organizational and operational sustainability. The projects will need board approval, and should have a plan, a purpose, and a budget separate from operations.

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by tangram and recognize a tax liability if tangram has taken an uncertain position that more likely than not would not be sustained upon examination by various federal and state taxing authorities. Management has analyzed the tax positions taken by tangram, and has concluded that as of june 30, 2022 and 2021, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the accompanying financial statements. Tangram is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress.
