“The executive committee shall consist of not less than six (6) members of the board, including the chairman of the board, vice chairman of the board, immediate past chairman of the board, the ceo of union health system, inc., secretary, treasurer and such other members of the board as are necessary to complete the committee as determined by the chairman of the board. The chairman of the board shall be chairman of this committee. The executive committee shall have the power to transact all business of the corporation during the interim between meetings of the board of directors, but the executive committee must report all its activities to the board of directors as soon as is feasible. All decisions of the executive committee shall require agreement and consent of at least a majority of the total committee membership. Meetings of the executive committee shall be had by call of the chairman of the board which need not be in writing.”

Management has analyzed the tax positions taken by the foundation and vna, and has concluded that as of december 31, 2024 and 2023, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the accompanying consolidated financial statements. The foundation and vna are subject to routine audits by taxing jurisdictions; however, there are currently no audits in progress.”
