“Hoosier beverage association has three classes of members which include (i) regular members, (ii) associate members, and (iii) life members. Regular members shall include any individual, firm, partnership, association, corporation or other entity engaged in the manufacturing, bottling or distribution of soft drinks, bottled water or other non-alcoholic beverages or the manufacturing of syrup for use in soft drinks, whose application for membership in the corporation has been accepted by the board of directors. Associate members shall include any other individual, firm, partnership, corporation or association engaged in the business of producing or dealing in apparatus, equipment, supplies or services used in the manufacturing, bottling or distribution of soft drinks or bottled water or other non-alcoholic beverages or in the manufacturing of syrup for use in soft drinks, whose application for membership as an association member has been accepted by the board of directors. Life members shall include any individual of acknowledged eminence in the soft drink industry, or one who has rendered particularly valuable service to the corporation or to the soft drink industry and whose eminence or service shall have inspired a majority vote of the voting members. Regular members and life members whose dues and special assessments for the current and all prior years have been paid shall be entitled to one vote at meetings of the members upon all questions. Associate members shall have no right to vote upon any question.”
