Governance Explanations

Form 990, Part VI, Section A, Line 6

United Way of Gibson County, Inc. Bylaws state that any person or corporation who contributes over a specified amount becomes a member for the year. Members are not allowed to nominate or vote on board members. All Board members are independent and do not serve at the discretion of United Way members.

Form 990, Part VI, Section B, Line 11B

A draft copy of the 990 was provided to all Board members and the finance committee at the board meeting. All board members review the 990 for accuracy and direct any potential discrepancies to the finance committee. The finance committee is responsible for the final review and approval of the 990 prior to its signing.

Form 990, Part VI, Section B, Line 12C

The organization has a written conflict of interest policy. All Board members and staff are required annually to complete a new conflict of interest statement and disclose any possible conflict of interest. Board members abstain from voting on any and all issues which may be considered a conflict of interest.

No Board members are paid for their service as United Way Board Members. The Executive Director's position is reviewed annually by the board and compensation is based on benchmarks and predetermined performance standards and salary ranges of similar positions and responsibilities of other not-for-profit pay scales.

Financial Statement Notes

Part V, Line 4: Intended uses of the endowment fund.

The United Way of Gibson County, Inc. complies with financial statement reporting requirements recognizing its right to an asset held by a recipient organization as a beneficial interest. Assets are maintained on behalf of the United Way of Gibson County, Inc. with the Gibson County Community Foundation (Foundation). Accounting reporting standards require the not-for-profit to compute the net present value of future cash flows as an asset. Funds with the Foundation are governed by a designated endowment agreement. Under the term of the agreement the United Way of Gibson County, Inc. is specified as the beneficiary of earnings as determined by the Foundation's distribution policy. The Foundation was granted the authority to vary the terms of the agreement. Distributions from the endowment fund are unrestricted.
