“Annually each member of the board of directors, the officers, and key employees are required to sign a conflict of interest statement. The board of director's written conflict of interest policy is regularly and consistently monitored and compliance enforced by the chairman and secretary of the corporation. The scope of this policy includes all board of directors. The policy is in place to prevent any detriment to meridian which could arise out of a duality of interest or potential conflict of interest and provide definitions and procedures to be taken in such event. The covered persons are to provide full disclosure of any such potential conflict to the secretary of the corporation through an annual reporting procedure and also by full disclosure of the conflict at the time the interest becomes a matter of board action. Any board member having a duality of interest shall not vote or use his/her personal influence on any matter which may involve a conflict between his/her interest and those of meridian.the conflict is documented in the minutes of the meeting.”
