Governance Explanations

Form 990, Part VI, Section A, Line 7A

The board of directors shall be composed of eleven members of the corporation, two from each of the following indiana counties: crawford, dubois, orange, perry, and spencer and the executive director. The members of the board of directors from each county shall be selected in the following manner: one member from dubois county shall be appointed by the dubois county council per indiana code 12-29-2-15. Each of the other directors shall be elected by the directors at the annual meeting of the board of directors. Vacant positions for unexpired terms of director positions may be filled for the unexpired term at any board meeting.

Form 990 review process includes review by the chief executive officer and chief financial officer and providing a copy to each voting board member for review prior to submitting to the irs.

There is a conflict of interest statement included in our corporate policies and procedures for employees and one for the board members in our board policies. All employees and board members are required to complete the form annually indicating any existing or potential conflicts of interest. Employees and board members agree in the statement they sign to immediately acknowledge any arising conflict of interest or potential conflict of interest.

Form 990, Part VI, Section B, Line 15

In determining the compensation of the executive director, the board of directors has established a board of executive compensation philosophy policy and procedure which they follow annually. They review all compensation given to the executive director and compare the executive director's salary with comparable salaries at other indiana community mental health centers as well as the indiana bureau of labor statistics report for the previous year. After discussion and deliberation of these factors and the financial state of the organization, they determine whether to provide a raise and how much. The board of directors completes a similar discernment process in determining other officer and or key employee compensation and determining if a raise is given, normally the same percentage raise is given to all staff.
