Governance Explanations

Form 990, Part VI, Section A, Line 6

All members of the board of directors shall be members of the corporation during their terms as a director and all subsequent directors elected or selected shall be members of the corporation during their term as a director according to the corporations by-laws.

The board of directors shall consist of at least 15 members but not more than 27 from among whom the chair, vice chair, secretary, treasurer and other officers except for the president/ceo shall be elected.

The 990 is prepared jointly by goodwill industries of michiana, inc. And their outside auditors. When completed the 990 is reviewed by the outside auditors, the corporation's cfo, president/ceo, and the board chair. Once this process is complete the return is then filed with the irs.

Form 990, Part VI, Section B, Line 12C

Once a year, usually in the fall, the board of directors reviews and either makes changes or reaffirms all leadership and governance policies and conformance to those policies.

The compensation committee of the goodwill board of directors determines compensation for the ceo by following the procedure of "rebuttal presumption" to ensure compliance with irs guidelines (irc 4958) are followed which includes: 1) making sure the transaction was approved in advance by an authorized body of the nonprofit composed of independent/unrelated individuals who do not have a conflict of interest. 2) the authorized body obtained and relied upon appropriate data as to comparability before making its decision. 3) the authorized body adequately documented the basis for its determination at the time the decision is made. This process is performed on a annual basis at the fall compensation committee meeting, this year the meeting was held october 8,2013

Financial Statement Notes

PART V, LINE 4:

The purpose of the endowment fund is to accumulate sufficient capital so that the income earned will assist in providing stability for goodwill's employment and rehabilitation programs in times of economic stress and/or significant fluctuations in government and grant funding. Another purpose of the endowment fund would be to provide from income earned matching funds, initial funding for new programs and funds for equipment replacement, major repairs, renovations and expansion.

PART X, LINE 2:

The organization's policy is to record an unrecognized tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained upon examination by the tax authorities. Interest and penalties related to gross unrecognized tax benefits would be included within the provision for income taxes. To the extent accrued interest and penalties do not ultimately become payable, amounts accrued would be reduced in the period that such determination is made and reflected as a reduction of the overall income tax provision. The organization does not have any uncertain tax positions at december 31, 2013. The organization files a federal and an indiana state tax return. Management believes the tax years that remain subject to examination by the federal and indiana tax jurisdictions date back to the year ending december 31, 2010.
