Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization has members. Documentation is maintained at the corporate office and is made available upon request from the public.

Form 990, Part VI, Section A, Line 7A

Members elect the board of directors.

Form 990, Part VI, Section B, Line 11B

A draft copy of form 990 is sent to board members who review the entire form and respond with any changes or corrections prior to filing.

Form 990, Part VI, Section B, Line 12C

The irmca conflict of interest policy applies to all board members, officers, staff, and in some cases major donors, who must disclose potential or actual conflicts annually and as they arise. Disclosures go to the board president or executive director, who, along with the board when appropriate, determine if a conflict exists and how to address it. Individuals with a conflict must disclose the situation, refrain from deliberations or decisions, and may be asked to recuse themselves, with only disinterested persons making the final decision. All conflicts are monitored, documented, and reported to ensure transparency.

Form 990, Part VI, Section B, Line 15

The compensation of the executive director and all employees is determined and approved by the board of directors.

Form 990, Part VI, Section C, Line 19

The organization does not make its governing documents, conflict of interest policy, or financial statements available to the public.

Financial Statement Notes

PART X, LINE 2:

Irmca received a determination from the u.s. Treasury department stating it qualifies under the provisions of section 501(c)(6) of the internal revenue code as a tax-exempt organization; however, irmca is subject to tax on any income unrelated to its tax-exempt purpose. For the years ended december 31, 2024 and 2023, no accounting for federal or state income taxes was required to be included in the accompanying financial statements. Professional accounting standards require irmca to recognize a tax liability only if it is more likely than not the tax position would not be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax liability greater than 50% likely of being realized on examination. For tax positions not meeting the more-likely-than-not test, no tax liability is recorded. Irmca examined this issue and determined there are no material contingent tax liabilities or questionable tax positions. Tax years ended after december 31, 2020 are open to audit for federal and state purposes.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0IRMCA RECEIVED A DETERMINATION FROM THE U.S.
