Form 990, Part VI, Line 15A & 15B - PROCESS FOR DETERMINING COMPENSATION

The process for determining compensation of the organization's ceo, executive director, or top management official, as well as that of any other officers or senior executives (if any), is directed by a related organization. The related organization's board committee responsible for compensation oversees the process, utilizing independent delegees within the organization as appropriate, depending on the role. In some cases, the process may utilize comparability data and analysis from a national third-party compensation firm; or, if more appropriate for the role, it may instead utilize other applicable sources of market comparability data as needed to verify reasonableness. The process also includes contemporaneous substantiation of the analysis and decision regarding the compensation arrangement. Compensation is reviewed at least annually and the process is administered to assure independence, avoid conflicts of interest, ensure reasonableness and market comparability of total compensation, and to otherwise abide by pertinent laws and regulations.

St. Mary's health, inc. And subsidiaries (st. Mary's) joint venture operating agreements are negotiated with other members of the joint venture to ensure that adequate safeguards are in place to protect st. Mary's exempt status. Each agreement contains specific language related to the provision of health care services with a focus on community health benefit and must follow a formal review process prior to contract execution. St. Mary's continually ensures that its exempt status is protected by actively participating in the governance of all st. Mary's joint ventures.

St. Mary's Health, Inc. is comprised of two hospital campuses, Ascension St. Vincent Evansville, a 351-bed acute care hospital and Ascension St. Vincent Orthopedic Hospital, a 24-bed orthopedic hospital, both of which provide services without regard to patient race, creed, national origin, economic status, or ability to pay. During fiscal year 2024, St. Mary's Health, Inc. treated 14,161 adults and children for a total of 67,672 patient days of service. The hospital also provided services for 381,859 outpatient visits, which included 19,065 outpatient surgeries and 49,299 Emergency Room Visits.
