Classes of member or stockholders There are three classes of membership: Establishment - voting, Individual - non-voting, Supporting - non- voting

Pt VI, Line 15A

Executive compensation - The Executive Committee meets in executive session to determine compensation for the executive director. They use comparable compensation data (ASAE) but minutes of these sessions are not kept. Compensation was last determined in June 2017 for David A. Clayton, the Executive Director.

Pt VI, Line 7A

Representatives of established members vote for officers at annual meeting. District Directors are elected by establishment members within the districts. No one receives profits or excess dues upon dissolution. In the event of dissolution, distribution would go to a successor organization or to a qualified non-profit organization as per the by-laws.

Significiant decisions made by the board during the year are ratified by the membership at the annual meeting. Board Officers are elected by membership vote at the annual meeting. Motion from the floor, made by any member are also entertained and voted on at the annual meeting.

Enforcement of Confilicts Policy - Board members sign the disclosure agreement, indicating conflicts or potential conflicts annually. Board members are reminded of the written policy at each meeting. Should an issue come before the board the board and member has a conflict, the member discloses it and the board determines whether that member must recuse from the discussion. A board member with a conflict is not permitted to vote on the issue.
