Alpha chi omega fraternity, inc. Updated their bylaws november 2017. The notice of special meetings was updated to reflect applicable indiana state law. Committee appointments were changed to state appointment by national council (previously appointed by president with council approval). Indemnification articles were updated to reflect current applicable indiana state laws.

Form 990, Part VI, Section A, Line 6

Alpha chi omega fraternity, inc. Has members called delegates which are defined in the articles of incorporation as follows: delegates are: 1) members of the national council (as defined in article viii), 2) province collegiate chairs, 3) province alumnae chairs, 4) the chapter president or her designated representative from each collegiate chapter in good standing, 5) the association president or her designated representative from each alumnae chapter in good standing, and 6) past national presidents of alpha chi omega. The national council, province collegiate chairs, past national presidents and representatives from collegiate chapters are known as "collegiate delegates." the province alumnae chairs and representatives from alumnae chapters are known as "alumnae delegates."

Form 990, Part VI, Section A, Line 7A

National council members shall be elected by a majority of the votes cast by the delegates entitled to vote at a national convention. In the event of a petition or petitions for nominations as national president member of the national council, voting for that office shall proceed first, followed by a vote for the remaining class of national council members. In the event there are more than five (5) candidates for national vice president members of the national council as a result of the slating and petitioning process, delegates shall be allowed to cast one vote for each of five (5) candidates. The five candidates with the most votes shall be elected as the national vice president members of the national council.

The 990 is prepared, reviewed and signed by a public accounting firm based on information obtained from the audit and information provided by headquarter's operations. The 990 is reviewed by the senior financial controller at headquarters. After review and approval, it is forwarded to the board members.

The process is monitored by the senior human resource director. If notified of a conflict of interest, the senior human resource director would investigate the conflict.

Input for compensation for the chief executive officer is received from the boards of the three corporations of alpha chi omega fraternity. This input is requested by the national council president. The national council president compiles and reviews the information submitted. The salary of the chief executive officer is allocated to the three corporations of the fraternity, with the alpha chi omega fraternity, inc. Acting as the common paymaster.

The amount of compensation charged to the fraternity is reflected on part ix, line 5, officer's compensation.

Financial Statement Notes

PART X, LINE 2:

The fraternity and the nhc are each organized as a not-for-profit corporation that is exempt from income taxes under section 501(c)(7) of the internal revenue code and similar state law. The activities of psp are exempt as programs under the fraternity's not-for-profit exemption. The exemption is on all income except unrelated business income. An unrelated trade or business of an exempt organization is any trade or business which is not substantially related to the exercise or performance of its exempt purpose. Income earned from non-members is recognized as unrelated business income to the extent such income is not set aside for charitable and educational purposes. Income that is properly set aside must be used for the qualifying purposes outlined in the set aside resolution. The outstanding balance of funds set aside as of july 31, 2018 and 2017 was $146,636 and $127,346, respectively. Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the organization and recognize a tax liability if the organization has taken an uncertain position that more likely than not would not be sustained upon examination by various federal and state taxing authorities. Management has analyzed the tax positions taken by the organization, and has concluded that as of july 31, 2018 and 2017, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the accompanying consolidated financial statements. The organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. The organization has filed its federal and state income tax returns for periods through july 31, 2017. These income tax returns are generally open to examination by the relevant taxing authorities for a period of three years from the later of the date the return was filed or its due date (including approved extensions).
