University of Toledo Alumni Association

“The executive committee includes the board president, first vice president, second vice president, secretary, treasurer and immediate past president, all of whom are members of the governing body. During intervals between meetings of the board of trustees the executive committee shall have the authority to transact the general business of the association subject to review by the board of trustees. The executive committee meets prior to every meeting of the board of trustees.”

“The university of toledo alumni association is a dues-paying organization open to all graduates of the university of toledo, the medical college of ohio, the medical college of ohio at toledo and the medical university of ohio. Anyone who has matriculated through a consortium program at any of these organizations shall be eligible to be active members. Individuals completing 24 semester hours or 36 quarter hours, and current ut faculty staff may join as associate members. Honorary membership in the association may be nominated by any member of the board of trustees and approved by a two-thirds vote of the whole board of trustees. Active members in good standing shall be entitled to one vote on each matter submitted to the full membership. Associate and honorary members do not have voting rights.”

“Nominations for any office, or for the board, other than those made by the nominating committee of the board, shall be made by a petition signed by at least fifty regular members in good standing and filed with the secretary not less than thirty (30) days prior to the annual meeting. Additionally, the bylaws provide that affiliate groups of the association are empowered, on a rotating basis, to appoint affiliate representatives to the governing body.”

“Special meetings of the membership of the association may be called to consider any special items requiring a vote including amendments to this constitution by a resolution adopted by the board of trustees or by a petition signed by fifty members in good standing.”

“The draft form 990 is presented to the association's finance committee, executive committee and the governing board for review and approval before the form 990 is filed with the irs.”

“Board members are required to complete a conflict of interest form annually during their term of service. Any conflicts will be brought up to the executive committee and resolved by the executive committee. If a conflict is determined to exist for an individual, then that individual will not be allowed to vote or have input on the topic of the conflict. All matters, including conflicts, would be documented in the official minutes of the board and executive committee meetings. Any board member abstaining would be documented.”

“Management is provided by the employees of the university of toledo and the university of toledo foundation. Compensation for those individuals is subject to the review and approval process of those institutions.”

“No changes to the audit oversight process or the selection of the independent accountant from prior year.”
