Governance Explanations

Form 990, Page 6, Part VI, Line 6

Any person whether a natural person or a firm, association, corporation, partnership or political body becomes a member of the cooperative upon receipt of electrical service within its certified service territory.

Form 990, Page 6, Part VI, Line 7A

The cooperative is governed by its code of regulations which is approved by a vote of the members. The code requires the cooperative to hold an annual meeting each year in september. At this meeting members receive financial and operational reports covering the past fiscal year and transact such business as may come before the meeting. In august, prior to the annual meeting, all members are mailed a voting ballot to elect persons to serve on the board of trustees.

Form 990, Page 6, Part VI, Line 7B

The code of regulations provides that in furnishing energy to members the cooperative's operations shall be so conducted that members through their patronage furnish capital to assure the cooperative operates on a non- profit basis. The cooperative is obligated to account on a patronage basis to all its members for amounts received in excess of operating costs and expenses properly charged against the furnishing of electric energy. The cooperative must allocate to a capital account for each member such amounts in excess of operating costs. This allocation is termed capital credits and is refunded in order of priority as determined by the board of trustees.

A reorganizational meeting of the board of trustees is held as soon as practical following the annual meeting of members. At that time cooperative policy 108 - conflict of interest is reviewed by management and trustees. All trustees are expected to sign a statement certifying he or she understands the policy and to the best of his or her knowledge neither he or she or any immediate family members have engaged in any activities in violation of the policy.

A performance appraisal of the general manager is made annually by the board of trustees. At that time the compensation of the general manager is reviewed and changes approved by the board of trustees.

THE COOPERATIVE IS OBLIGATED TO ACCOUNT ON A PATRONAGE BASIS TO ALL ITS MEMBERS FOR AMOUNTS RECEIVED IN EXCESS OF OPERATING COSTS AND EXPENSES PROPERLY CHARGED AGAINST THE FURNISHING OF ELECTRIC ENERGY. THE COOPERATIVE MUST ALLOCATE TO A CAPITAL ACCOUNT FOR EACH MEMBER SUCH AMOUNTS IN EXCESS OF OPERATING COSTS.
