Governance Explanations

Form 990, Page 6, Part VI, Line 6

The membership of the club shall consist only of natural persons and shall be composed of golf members and such other classifications as the board of trustees may from time to time establish. Golf members shall be the only membership classification entitled to vote and be issued a share of stock. No members of any other class shall have any right, title, or interest in or to the property or assets of the club. Applications for membership in any and all classifications shall be in writing on forms provided by the board of trustees and must be endorsed by at least three members, one being a golf member, all of whom shall personally know the applicant. All applications shall be voted upon by the board of trustees and two negative votes shall reject such application.

Form 990, Page 6, Part VI, Line 7A

Golf members holding stock shall only be entitled to vote at any annual or special meeting of the members. Each golf member present in person shall be entitled to one vote and the affirmative vote of the majority present shall be necessary to the transaction of any business, except as hereinafter provided. No member whose dues are unpaid shall be entitled to vote at any meeting. No voting shall be done by proxy. Trustees nominated as set forth in the notice of meeting may be voted on in writing by any golf member regardless of attendance or non-attendance at said meeting. This written vote must identify the member voting and be received by the secretary prior to the actual election.

The executive committee is responsible for all operations of the club. In any special or regular meeting of the golf members at which a quorum is present, the amended code of regulations may be altered or amended provided regular notice of the proposed alterations or amendment shall have been mailed to members of the club at least ten days in advance of the meeting in question, and to make any proposed alteration or amendment effective the assent of two-thirds of the members present shall be necessary.

The finance committee shall be comprised of the club treasurer, president, and up to three other members selected from the membership based on their finance expertise. The controller will be an advisor to the committee. The committee is responsible for budgeting, capital expenditures, and reviewing financial performance and tax information on a periodic basis as determined by the committee. The finance committee meets monthly prior to the board of trustees meeting.

The club reviews transactions with interested persons and related organizations to ensure they conform with the club's written policies, are properly recorded, reflect reasonable payments for goods and services and do not result in impermissible private benefit. When conducting the periodic reviews, the club may, but need not, use outside advisors.

The executive committee shall consist of the president, vice-president and the past president (or if unable to serve, another trustee). The chief executive officer reports to the executive committee. This committee is responsible for all operations of the club. The executive committee also determines the salary, benefits and other forms of remuneration for the aforementioned personnel.
