THERE SHALL BE THREE CLASSES OF MEMBERS.1.TAX QUALIFIED MEMBERS SHALL BE NONPROFIT ACADEMIC SCHOOLS FOR BOYS WITH EITHER PRIMARY AND/OR SECONDARY SCHOOL CLASSES WHICH ARE DULY QUALIFIED AS AN EXEMPT ORGANIZATION UNDER THE SECTION 501(c)(3) OF THE UNITED STATES REVENUE CODE OR DULY QUALIFIED UNDER SECTION 170(C)(1) OF THE INTERNAL REVENUE CODE TO WHICH CHARITABLE CONTRIBUTIONS ARE DEDUCTIBLE PURSUANT TO SECTION 170(B)(1)(A) OF THE INTERNAL REVENUE CODE AND WHICH MEET THE ELIGIBILITY REQUIREMENTS ESTABLISHED BY THE BOARD OF TRUSTEES. EACH TAX QUALIFIED MEMBER SHALL HAVE ONE (1) VOTE.2.INSTITUTIONAL MEMBERS SHALL BE SCHOOLS, DOMESTIC OR FOREIGN, WHICH ARE PRIMARILY FOR BOYS, WHICH HAVE EITHER PRIMARY AND/OR SECONDARY SCHOOL CLASSES AND WHICH MEET THE ELIGIBILITY REQUIREMENTS ESTABLISHED BY THE BOARD OF TRUSTEES. Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

All employees of ibsc have an obligation to conduct business within guidelines that prohibit actual, potential, or perceived conflicts of interest. The purpose of these guidelines is to provide general direction so that employees can seek further clarification on issues related to the subject of acceptable standards of operation. An actual, potential, or perceived conflict of interest occurs when an employee is in a position to influence a decision that may result in a personal gain for the employee or for a relative as a result of ibsc's business dealings for the purpose of this policy. A relative is any person who is related by blood or marriage, or whose relationship with the employee or board member is similar to that of persons who are related by blood or marriage. If an employee has any influence on transactions involving purchases, contracts, or leases, it is imperative that he or she discloses to an officer of the organization as soon as possible the existence of any actual or potential conflict of interest so that safeguards can be established to protect all parties. Examples of this include purchasing of office or other supplies from a family member, having substantial financial interest in a vendor, and similar situations.

Part X : FIN48 Footnote

IBSC, a not-for-profit organization, is exempt from income taxes under Internal Revenue Code Section 501(c)(3) and is also exempt from the State of California franchise and income tax under Section 23701(d) of the State Revenue and Taxation Code. The Financial Accounting Standards Board (FASB) Accounting Standards Codification (ASC) 740-10, Accounting for Uncertainties in Income Tax, sets a minimum threshold for financial statement recognition of the benefit of a tax position taken or expected to be taken in a tax return. IBSC has reviewed its position for all open tax years and has determined that it has no uncertain tax positions requiring accrual or disclosure.
