Mission

As a subsidiary of Salem Regional Medical Center ("the Medical Center"), the purpose of the SCH Professional Corporation is to provide a corporate structure for effectively attracting and retaining physicians to support the mission of the Medical Center and to meet community need by providing a diverse geographic and/or multi-specialty base of services. Prior to the affiliation and/or opening of the SCH Professional Corporation offices, access to these respective healthcare providers was lacking; the services were available only in a reduced capacity; and/or the communities were experiencing difficulty in recruiting and retaining medical practitioners, resulting in gaps in medical treatment or barriers to access.

The SCH Professional Corporation operates 18 outpatient facilities and employs 38 physicians and 11 physician extenders, for the benefit of patients in Salem Regional Medical Center's defined Service Area, with outreach offices located in the communities of Columbiana, Damascus, Salem, Canfield and Lisbon. These outreach facilities consist of six family practice and internal medicine offices, one urgent care, two general pediatric practices, a gastroenterology practice, a general surgery practice, a plastic surgery practice, a neurology practice, an oncology practice, a pain management practice, an otolaryngology(ENT), a wound care center and an orthopedic practice.

Governance Explanations

Form 990, Part VI, Section A, Line 6

As an Ohio professional corporation, the Corporation is required to have a physician shareholder. Dr. Anita Hackstedde, MD serves as the shareholder as well as the President and Director of the Corporation. Dr. Hackstedde has signed a Share Control Agreement whereby she will vote her stock as directed by Salem Community Hospital. The shareholder does not receive any economic benefits from ownership of the stock.

The 990 is reviewed by the Board of Directors prior to filing. The members are notified when the completed return is available for review on the secure portal.

Form 990, Part VI, Section B, Line 12C

Each member of the SCH Professional Corporation's and hospital's governing bodies, along with the administrative staff are required to review and disclose conflicts of interest in accordance with the hospital's code of Regulations. Physicians who are employed by the corporation are required to sign a conflict of interest statement in accordance with the requirements of the medical staff bylaws. On an annual basis, directors and key employees disclose potential business or professional relationships they may have with the organization and/or other directors/key employees. In situations when a director may have a conflict, they may participate in the discussion but must leave the room prior to final discussion and vote.

The President's compensation is determined by the Board of Directors of Salem Regional Medical Center based upon the recommendation of the Board's Executive Committee both of which are comprised entirely of non-employee board members. The committee evaluates market data through formal statewide surveys as well as targeted regional survey data.

As a private not-for-profit organization, the SCH Professional Corporation does not make its governing documents or financial statement generally available to the public although Federal Form 990 is available for review upon request. The financial statements are reviewed by the governing body on a monthly basis.

IRS990/Desc0The SCH Professional Corporation's 18 outpatient practices provide primary and specialty healthcare services to residents within Salem Regional Medical Center's Service Area. During fiscal year 2024, 49,021 primary care evaluation and management services were provided by 14 primary care physicians and 6 physician extenders. Also during 2024, 25,100 specialty care patient services were provided by 18 specialists and 7 physician extenders in gastroenterology, general surgery, plastic surgery, neurology, otolaryngology and orthopedics. In support of its community outreach commitment, the SCH Professional Corporation's outpatient practices provide charity care and financial assistance for healthcare services delivered, in accordance with the patient's financial need and the guidelines specified in the charity care policy. In fiscal year 2024 , charity care and financial assistance provided to patients seeking services through the SCH Professional Corporation practices totaled $94,201. It should also be noted that the SCH Professional Corporation primary care practices serve as one of the few sources of primary care for Medicaid patients within the Medical Center's Service Area. Beyond providing charity care, the SCH Professional Corporation seeks opportunities to further its tax-exempt purpose and community benefit initiatives by providing a wide variety of community health services, screenings and educational outreach services, designed to improve the community's health status and access to health resources. Examples of these events offered through the SCH Professional Corporation include, but are not limited to: staff and physician educational resources provided free of charge to the community; and reduced cost preventative screenings, e.g. cholesterol/lipid density. To increase regional access to outreach services for people of all ages, many of the medical educational programs, screenings and health fairs are provided in outlying regions of the service area in collaborative partnerships with local school districts, civic and community organizations, faith-based organizations, and area businesses. In partnership with Salem Regional Medical Center, our providers participated in various activities to support the organization.
