“The executive committee is made up of all officers of the board of directors and all committee chairs of the organization. The chairman of the board shall be the chairman of the executive committee. The executive committee shall act only in the intervals between meetings of the board of directors and shall, except to the extent determined by the board of directors, have all authority of the board of directors other than to fill vacancies of the board of directors.”

“Bvu's form 990 is prepared by the tax department of our independent accountants. A draft return is sent to the bvu executive committee for comment and then to the full board for review before filing.”

“Each board member and key employee is asked to sign a conflict of interest policy annually. If a circumstance arises that may become a conflict of interest, the bvu board executive committee will discuss the matter and ensure that: 1. “In 2018, at the request of the board chair, bvu's vice president of administration worked with an outside sr. Executive compensation analyst to prepare a compensation analysis and structure for bvu that includes pay range grades for all staff members, including the ceo. In prior years, the following process has been followed: bvu's executive committee acts as the compensation committee. The process for determining compensation for the ceo is as follows: bvu's vice president of administration provides salary data from eri salary surveys. This survey instrument has information from organizations with similar budgets, number of employees, and types of nonprofits. Because of bvu's unique position in the nonprofit sector, we have gone beyond these manuals to other like organizations for their data. Separate minutes for deliberation are maintained by bvu's secretary of the board. In the future, this process will be followed again, and the full executive committee will also review the compensation research. The above process is used for the ceo position only. For all other staff positions, the ceo conducts a review of each position and makes a proposal for staff increases to the bvu board of directors annually.”

“Bvu provides governing documents, conflict of interest policy, and financial statements to the public upon request, for the same period of time as set forth in internal revenue code section 6104(d).”
