“There shall be an executive committee at all times. In addition, the executive committee may at any time appoint from its members, the officers of the chapter or members of the chapter one or more additional committees consisting of such number of officers or members, not less than three, as the executive committee may deem advisable, together with such alternates as the executive committee may deem advisable, to take the place of any absent member or members at any meeting of such committee. Each member and alternate shall hold office during the pleasure of the executive committee. The name and purpose of each such committee shall be determined by the executive committee. Any such committee shall have such powers as may, from time to time, be delegated by the executive committee. Unless otherwise ordered by the executive committee, any such committee may prescribe its own rules for calling and holding meetings, and its own method of procedure, and may act by a majority of its members at a meeting, or without a meeting by a writing signed by all of the committee's members. Any act or authorization of any act of any such committee within the authority delegated to it by the executive committee shall be as effective for all purposes as the act or authorization of the executive committee.”

“The election of the executive committee shall take place at a meeting of the members held in april or may of each year.”

“The 990 is prepared by an outside accounting firm. Before filing, the return is reviewed by the chapter chairman and finance officer.”

“The chapter shall maintain a conduct committee responsible for enforcement and monitoring of the conflict of interest policy. The conduct committee shall be composed of the current local chapter executive committee. If a member of the executive committee has a conflict of interest in any matter before the committee, then that member shall abstain from the deliberations, recommendations and decisions of the committee. If the abstention prevents a quorum, then another member will be appointed by the chapter chair or, if the chair is conflicted, then the immediately preceding chair will make that appointment.”

“The organization's articles of incorporation, by-laws, conflict of interest policy and financial statements are made available to the public upon written request.”
