Certain governing responsibilities are reserved at the parent organization, Robinson health system, inc. (sole member). Examples include approving matters relating to finances and financing, matters relating to investments, legal matters, material assets sales or transfers, strategic plan, officers and directors to the organization's board.

Form 990, Part VI, Section B, Line 11

On June 1, 2015, University Hospitals Health System, Inc. became the sole member of Robinson Health System, Inc. ("UH"). As the sole member and parent organization of Robinson during the extended filing period of this form, UH's governing body approved this form for filing. The UH Audit and Compliance Committee has been delegated authority to review and approve the Form 990 by the UH Board. The Audit and Compliance Committee receives a complete copy of the return before it is filed with the Internal Revenue Service. Form 990, Part VI, Section B, Line 12 Members of the Board of Trustees, and the officers are required to sign a conflict of interest policy on an annual basis. This policy is designed to assist each covered person in satisfying his or her fiduciary obligations required under Ohio law and under the Code with respect to tax exempt organization by avoiding even the appearance of impropriety by requiring full disclosure of any situation wherein such covered person has a conflicting interest that could possibly cause that person to act in other than the best interest of the Corporation. Upon submission of the annual signed conflict of interest statement, all statements are reviewed by the Board President to validate that no conflicts exist. In the event a situation occurs that puts a member of the Board of Trustees in conflict, the member must recuse his or her self from voting. If the conflict is severe, the member can be terminated.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3On June 1, 2015, University Hospitals Health System, Inc. became the sole member of Robinson Health System, Inc. ("UH"). As the sole member and parent organization of Robinson during the extended filing period of this form, UH's governing body approved this form for filing. The UH Audit and Compliance Committee has been delegated authority to review and approve the Form 990 by the UH Board. The Audit and Compliance Committee receives a complete copy of the return before it is filed with the Internal Revenue Service. Form 990, Part VI, Section B, Line 12 Members of the Board of Trustees, and the officers are required to sign a conflict of interest policy on an annual basis. This policy is designed to assist each covered person in satisfying his or her fiduciary obligations required under Ohio law and under the Code with respect to tax exempt organization by avoiding even the appearance of impropriety by requiring full disclosure of any situation wherein such covered person has a conflicting interest that could possibly cause that person to act in other than the best interest of the Corporation. Upon submission of the annual signed conflict of interest statement, all statements are reviewed by the Board President to validate that no conflicts exist. In the event a situation occurs that puts a member of the Board of Trustees in conflict, the member must recuse his or her self from voting. If the conflict is severe, the member can be terminated.
